California Workforce Association, Ex-officio member N-2011-109 WHEREAS, the California Workforce Association (C WA) was formed to promote a collective effort to address Workforce Investment Act (WIA) issues, funding opportunities and training endeavors on a statewide basis; and WHEREAS, the undersigned workforce investment agencies, as members of the CWA, desire to formally collaborate in partnership, henceforth to be known as the "California Multi-Sector Workforce Partnership" or "Partnership" with regard to submitting a National Emergency Grant (NEG) application to the U.S Department of Labor and performing required activities on said project, if awarded; and WHEREAS, the South Bay Workforce Investment Board, Inc. has agreed to be and has been designated by the Partnership to be the lead for the NEG project and as such to serve as the Fiscal Agent for the Partnership and project and the subsequent lead for responsibilities associated with the NEG project including award reporting; and WHEREAS, the parties hereto, individually and collectively, agree by the execution of the Memorandum of Understanding (MOU) to the obligations, performances and accomplishments of the tasks described in the approved US Department of Labor (DOL) grant application; and WHEREAS, this Memorandum of Understanding describes the terms and conditions under which the undersigned workforce investment agencies will participate in pursuing this multi-sector workforce partnership funding opportunity to provide needed employment and training services for dislocated workers; and WHEREAS, this MOU is made by and between the undersigned workforce investment agencies, all of which are referred to collectively as the parties; NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS 1. PURPOSE. The purpose of this MOU is to create a basic governance structure (the "Partnership") for the implementation of a United States Department of Labor National Emergency Grant (NEG) project to serve California workers who have been separated from employment in multiple industrial sectors across several geographically contiguous Local Workforce Investment Areas (LWIAs). This MOU also sets forth the responsibilities of the parties as they relate to a collaborative, funded effort to plan and implement integrated workforce services for the target population. To ensure the maximum flexibility for all parties under this MOU, it is agreed that the parties may enter agency-specific agreements that are in furtherance of and complementary to this MOU. 2. TERM OF THE AGREEMENT. This agreement shall become effective as of the date all parties have provided their respective signatures hereto and shall continue through March 17, 2013 unless terminated or amended by the parties hereto as set forth herein. 3. DECISION-MAKING PROCESS. The Partnership agrees that all decisions relating to the development, implementation, and operation of this MOU, and its related NEG project, will first be attempted by consensus. If consensus cannot be reached, then unresolved issues shall be decided by a majority vote of all parties to this MOU. Each party to this agreement is allocated one vote. A quorum for the conduct of business shall be a majority of the voting parties to the agreement. 4. PROCEDURES FOR AMENDMENT. This MOU may be amended by a majority vote of the members of the Partnership. If any provision of the MOU is held invalid, the remainder of the MOU shall not be affected. 5. TERMINATION. Any member of the Partnership may terminate its participation in this MOU after 30 days written notice to the "Fiscal Agent." PARTNER ROLES: The common roles and responsibilities of the Multi-Sector partners are as follows; a) Maximize grant effectiveness within the parameters of federal regulations through collaborative service delivery. b) Collect and report data on WIA Core, Intensive, Training, and Supportive Services provided to DW participants on a regular basis to the partnership's administrative entity. 2 c) Share information on promising practices and proven methods in dislocated worker programming, including effective Rapid Response strategies. d) Communicate on policy and operational issues pertaining to effective implementation of the Multi-Sector Partners' NEG-funded project. e) Where applicable, share information on local program results and information on new, relevant workforce development initiatives with participating local workforce investment areas, the State of California, the SBWIB, Inc. and the U.S. Department of Labor with assistance from the California Workforce Association. f) Participate in monthly, quarterly, and ad hoc project coordination meetings. 7. ROLE OF THE SOUTH BAY WORKFORCE INVESTMENT BOARD, INC. The South Bay Workforce Investment Board, Inc. will serve as the grant recipient, fiscal agent, and administrative entity for the Multi-Sector Partnership, and, in these capacities, will collaborate with: the Partnership's state-level partners, regional single points of contact, and the California Workforce Association to manage successful implementation of all NEG-funded activities, including compliance with all U.S. Department of Labor rules and regulations pertaining to activities conducted under the federal Workforce Investment Act of 1998. Such duties shall include leadership and administration of all NEG-funded activities of the Multi-Sector Partnership. 8. REGIONAL PROJECT MANAGEMENT In order to supplement communications and activity coordination in sub-regions of the project area, the Sacramento County, Merced County, and South Bay WIBs will serve as single points of contact (SPOCs) on project management issues specific to Northern, Central, and Southern California, respectively. The WIBs within each of these management and communications hubs will include the following: Sacramento Employment Training Agency -Northern California • North Central Counties • Sacramento County • Contra Costa County • City of Richmond Merced County -Central California • Kern/Inyo/Mono Counties • Kings County • Merced County • Monterey County • San Benito County • San Joaquin County • San Luis Obispo County • Stanislaus County • Tulare County (Ex Officio) South Bay Workforce Investment Board -Southern California • Anaheim City • Foothill Consortium • Los Angeles City • Los Angeles County • Orange County • Pacific Gateway Workforce Investment Network • San Bernardino County • Santa Ana City • South Bay Consortium Regional project issues will be discussed during monthly conference calls organized by each SPOC with assistance from the California Workforce Association. 9. ROLE OF THE CALIFORNIA WORKFORCE ASSOCIATION: Monthly project meetings conducted by SBWIB, Inc. with CWA support will cover project activities and performance, best practices, and creative ideas. The specific roles and responsibilities of the CWA are listed as follows: a) Serve as a facilitator and information clearinghouse to enable information sharing on project policies, project results, and new initiatives in workforce and economic development. b) Facilitate monthly partnership meetings. c) Gather and disseminate information on promising practices by and within the partnership with an emphasis on how such practices can be conducted as part of the NEG program. d) Coordinate with state organizations, such as the California EDD, the Chancellor's Office of the California Community Colleges, and the California Department of Education to assist in leveraging resources to support the partnership's activities. 10. PROVISION OF SERVICES. Each party to this MOU agrees to the following commitments: • Each party will select a representative and/or representative's designee to participate in the Partnership's activities and other required meetings of the parties; • Each party will perform its particular duties as outlined in the DOL-approved grant application. 11. MISCELLANEOUS PROVISIONS. a) Employees. It is expressly understood and agreed by all parties that employees of parties receiving compensation for work performed for this agreement shall in no way be deemed employees of the Partnership. b) Indemnification and Liability. The parties to this MOU are not legally "partners" to the extent that the term encompasses joint and several liability. Each party under this MOU is responsible for its own employees, representatives, agents, and subcontractors. c) Execution. This MOU may be executed and delivered in any number of copies ("counterpart") by the parties, including by means of facsimile. When each party has signed and delivered at least one counterpart to the MOU, each counterpart shall be deemed an original and, taken together, shall constitute one and the same MOU, which shall be binding and effective as to the parties hereto. 4 PER SIGNATURE, WE AGREE TO ENFORCE THE PROVISIONS AND INTENT OF THIS MOU.
