SECOND AMENDMENT TO AGREEMENT
A-2010-190-02
THIS SECOND AMENDMENT TO AGREEMENT is entered into on July 18, 2011 by
and between Knowledge & Intelligence Program Professionals ("KIPP'), a California
corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and
municipal corporation organized and existing under the Constitution and laws of the State
of California (hereinafter "City").
RECITALS:

A. The parties entered into Agreement # A-2010-190, dated October 10, 2010, (hereinafter
"said Agreement") by which Consultant agreed to conduct a Terrorism Liaison Officer
(TLO) Training Program, collectively "TLO Training."
B. The parties entered into First Amendment to Agreement # A-2010-190-01, dated
December 30, 2010, to amend the Scope of Services to provide for additional TLO
Training.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
amend the Scope of Services to provide an additional TLO Training Basic Course.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement except those amended in this Second
Amendment to Agreement, the parties agree as follows:
1. Section 1, SCOPE OF SERVICES, shall be amended by amending Exhibit A, as set forth
in Exhibit A-1, attached hereto and incorporated by this reference.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
Agreement on the date and year first written above.

OFFICIAL TRAINING PROPOSAL
Dear Mr. Walsh:
This is a proposal for KIPP to assist, support and facilitate one (1) iteration of the one-
day/8-hour Terrorism Liaison Officer Basic (TLO Basic) course training/workshop for
the Orange County Intelligence Assessment Center (OCIAC). This training is scheduled
for August 5, 2011, at a location within the Orange County Region. The scheduled date
and location may vary based upon mutual concurrences. Hal Kempfer is the Subject
Matter Expert (SME) instructor/coordinator involved with this training. This event is
anticipated to include a maximum of 60 students per class.
KIPP will provide agreed upon support in order to meet the objectives and goals of this
training event and involve exacting standards of presentation, student/learning materials,
and training support in fully executing the requirements of this event. OCIAC will
coordinate for provision of the venue and standard venue related issues. OCIAC will also
invite/coordinate students, and provide the necessary equipment (projector, speakers and
laptop) for presentation as needed. OCIAC will also be responsible for any course
completion certificates, evaluations or other specific program materials (i.e. brochures,
etc.) as required.

This proposal covers the time and effort of KIPP contractors/course coordinators, agreed
upon student materials, travel and other allowable costs incurred in support of this project
as stipulated above. The total price for the aforementioned training and support in the
proposal is 54,950.00.
For reference, KIPP is a registered vendor with Orange County (Orange County vendor
#X04181) and is a California Corporation in good standing. KIPP is a Veteran Owned
Small Business with its offices located in the city of Long Beach, California.
SOLE SOURCE JUSTIFICATION
KIPP is a current private vendor (Orange County vendor 4X04181) in the State of
California offering a variety of terrorism, intelligence and Homeland Security training
services. KIPP has been extensively involved with training for agencies, offices or
departments throughout California for many years. KIPP and its cadre of expert
instructors have been providing formal TLO training since 2004 throughout the state and
out of state, and had provided informal TLO training through the Terrorism Early
Warning (TEW) program since 2001. KIPP has provided more formal TLO training in
California than all other entities combined, public and private, and is on track to
significantly increase its total TLO training in 2011. For reference, KIPP is responsible
for training approximately 5000 public safety professionals as TLOs from July 2008
through to the present, providing both one-day and three-day TLO courses. As such,
KIPP is an existing private vendor of TLO courses, and is uniquely qualified and capable
of quickly and comprehensively providing the type, scope, timeliness, quality and
quantity of training support needed by OCIAC for its TLOs. KIPP's principal and
associates are the co-developers and primary instructors in 5-day and previous 3-day
TLO courses and in the one day TLO Basic course. These courses were POST Certified
and DHS HSGP approved. When the State of Califomia wanted to formalize TLO
training in 2004, it turned to KIPP. Before and after founding KIPP, Mr. Kempfer has
been a course coordinator, training developer/and or instructor in this kind of material
and these topics for interagency, international, multi-jurisdictional and civil-military
organizations, with much of that being focused multi-jurisdictional response to
asymmetric threats facing Southern California going back to the mid-90s. When the state
of California wanted to formalize TLO training in 2004, it turned to KIPP. Hal Kempfer,
CEO of KIPP, is singled out because of his decade long affiliation with the TEW
program in multiple California counties and multi-disciplinary Emergency Operations
entities concerned with terrorism intelligence and information liaison issues, along with
an extensive and unique background working with the civil-military fusion centers and
regional law enforcement fusion centers on training programs or exercises. A retired
Marine Reserve LtCol and former senior intelligence officer for Marine Corps, Joint and
Coalition Commands, along with being a noted Homeland Security expert for that
service, he also has been a core instructor for the National Guard's National Interagency
Civil-Military Institute (NICI) and Joint Interagency Training Center West (JITC-W), the
Naval Postgraduate School's programs supporting Navy Region Commands worldwide
in anti-terrorism and all-hazards preparedness, and the U.S. Pacific Command's mobile
training teams and subject matter expert exchanges under Joint Task Force Homeland
Defense engaged throughout the Pacific providing training on terrorism, maritime
security and all-hazards preparedness. KIPP also supported the joint Los Angeles
Infragard's annual exercises for 2007, 2008, 2009, and 2010, an event involving Los
Angeles Infragard members, performing numerous Los Angeles area terrorism or
homeland security exercises. KIPP's instructors also have years of experience
developing and providing terrorism instruction for the California Specialized Training
Institute (CSTI) in all their T1-3 and TIA courses. As mentioned, KIPP has coordinated
and provided various seminars featuring top national and international experts in various
issues related to terrorism for civil-military, multi jurisdictional and- :.. interagency
initiatives in California and around the world. As such, KIPP is uniquely qualified and
capable of quickly and comprehensively providing the type, scope, timeliness, quality
and quantity of training support needed by OCIAC for this event.
