THIS FIRST AMENDMENT TO AGREEMENT is made and entered into this /?/?ay
of T?'?,(y?/ , 2012 by and between "the Parties," KidWorks Community
Deve opmen Corporation (hereinafter "Contractor and/or KidWorks"), and the City of Santa
Ana, a charter city and municipal corporation organized and existing under the Constitution and
laws of the State of California (hereinafter "City").
RECITALS-
A_ The City and KidWorks (hereinafter "the parties") entered into Agreement No. N-
201 1-100, dated January 1, 201 1, (hereinafter "said Agreement"), by which the
parties agreed to implement a Santa Ana Police Athletic and Activity League
(SAPAAL) program in order to work together toward the mutual goal of reducing
gang violence and gang crime in the target area identified as policing grids 86, 87,
106, 107, 126, and 127 in the South Coast Policing District.
B. In accordance with the terms and conditions of said Agreement, the Parties wish to
renew said Agreement increase the amount of monthly compensation to pay for
services provided by KidWorks during the period of time from April 1, 2011 through
December 31, 2012, with the total compensation during the term of the agreement to
remain the same.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to
all the terms and conditions of said Agreement, except those amended in this First Amendment
to Agreement, the parties agree as follows:
1 . Section 2(a), COMPENSATION, shall be amended to increase compensation to an
amount not to exceed $714.28 per month, from April 1, 2011 through December 31,
2012. The amount of total funds to be expended for the life of the grant shall remain the
same as is set forth in section 2(b) of said Agreement.
2. Except as hereinabove modified, all terms and conditions of said Agreement shall remain
in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.
