RECITALS: I?N A. The parties entered into that certain Agreement A-2009-196, dated December 7, 2009, and subsequent amendment (hereinafter "said Agreement") by which t Contractor has provided fire alarm maintenance and repair services. B. In accordance with the terms and conditions of said Agreement, the parties wish to w exercise the second option to extend the term and increase compensation in order to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Agreement, the parties agree as follows: Section 2, COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Contractor agrees to accept as total payment for its test and inspection services, an annual fee of $30,740.00, payable in quarterly payments of $7,685.00. If additional parts or services are necessary, said services shall be provided at the rates set forth in Appendix A of said Agreement, "Discounted Labor & Material Pricing (Active Service Agreement Customers)". Additional parts shall be priced pursuant to Contractor's Parts Price List on file with the City's Building Maintenance Superintendent. The total sum to be expended under this Agreement shall not exceed $38,000.00, annually, during the term of this Agreement." 2. Section 3, TERM, shall be amended to extend the term of said Agreement for an additional one-year period, through December 31, 2012. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
