FIRST AMENDMENT TO AGREEMENT r 3 2 3 2 31 THIS FIRST AMENDMENT TO AGREEMENT is entered into on February 9, 2012, by ' and between Stearns, Conrad and Schmidt Consulting Engineers, Inc. d/b/a SCS ENGINEERS, a corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation _ organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: 1 A. The parties entered into Agreement A-2011-101, dated April 4, 2011, (hereinafter "said Agreement") by which Contractor has provided environmental assessment services. j B. In accordance with the terms and conditions of said Agreement, the parties desire to extend the term of said Agreement. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all ?J the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 4, TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall commence on April 1, 2011 and terminate on the later of February 28, 2014, or the expenditure of allocated funds, unless terminated earlier in accordance with Section 13, below." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
