Up`C ? $ FOR PUBLIC SAFETY CONSULTING SERVICES rnr?.pe\WatSan This agreement for public safety consulting services is made and entered into this ? 1 S` day of June, 2012, by and between the City of Santa Ana (hereinafter called "City"), and Cit °v Com, Inc., a Nevada Corporation (hereinafter called "Consultant"). ? RECITAL S .--, coo A. The City requires the services of a person skilled and experienced in public safety information technology planning, acquisition, implementation and best practices to assist o with developing a Request for Proposals (RFP) for modernizing the police department's existing computer aided dispatch (CAD), records management system (RMS), mobile system, and associated interfaces (Police Integrated Information Technology 5ystem). B. Consultant has the professional qualification and experience to provide such services and City desires to retain the Consultant for such services in accordance with the terms and conditions hereinafter set forth; NOW, THEREFORE, the parties agree as follows: 1. SERVICES TO BE PERFORMED. The City hereby retains Consultant, and Consultant hereby accepts such engagement, to provide technological information and advice to support the Information Technology Integration Project, as set forth in Exhibit A, attached hereto and incorporated by reference. Consultant's duties and responsibilities shall include, but not be limited to the following: 1. Frepare a Project Plan 2. Develop an Integrated Solution Request for Proposal (RFP) 3. Assist with Vendor Evaluation and Selection 4. Assist with Contract Development 2. OBLIGATION OF CITY. City shall provide Consultant with all pertinent data, documents, other information necessary to identify current technologies and operations abilities which the Police Department seeks to implement through additional. technology. If necessary, the City will provide office space and computer equipment for Consultant's use while on City property. 3. COMPENSATION AND PAYMENT. City shall pay Consultant compensation at the rate of Two Hundred Dollars ($200.00) per hour, based on the deliverables set forth in Exhibit A, attached hereto, for all services to be provided pursuant to this Agreement, not to exceed twenty-five thousand dollars ($25,000.00) without prior City approval.. Consultant shall submit monthly invoices to City for the services performed. Invoices shall be submitted to the City's designated project manager, Commander Jim Schnabl. City shall make payment to Cit Com, lnc. (Employer Identification Number: 88-0456338) within thirty (30) days after receipt of the invoice, subject to City accounting procedures. 2 ?, 5 ? t -?° won 4. INDEMNIFICATION. Consultant agrees to indemnify, defend and hold harmless the City, its officers, employees and volunteers, from any liability or financial loss. The duties set forth in this Section shall survive termination of this Agreement_ 5. INSURANCE. Consultant shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy of commercial automobile liability insurance covering comprehensive vehicle liability including bodily injury, personal injury, uninsured motorist, medical payments, collision and property damage in compliance with California law with $1,000,0000 coverage per accident for bodily injury and property damage. Additionally, Consultant shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy of Commercial General Liability insurance with $1,000,000 coverage per incident_ Such insurance policies shall provide that the insurance coverage shall not be canceled, reduced or otherwise modified by the insurance carrier without the insurance carrier giving the City thirty (30) days prior written notice thereof. Consultant agrees that it will not cancel, reduce or otherwise modify any insurance coverage required by this Agreement. At all times during the term of this Agreement, Consultant shall maintain on file with the City Clerk a certificate of ins??ra.,ce or other document acceptable to the City's Risk Manager and City Attorney, showing that the aforesaid policy is in effect in the amount above provided that the policy cannot be reduced or cancelled except on thirty (30) days notice by the insurance carrier to the City. Consultant must provide certification to the City Clerk within thirty days of the effective date of the Agreement and must have coverage in effect prior to commencing the performance of work under this Agreement. 6. WORK PRODUCT. All products of consulting, including, without limitation, any copywritable works, ideas, discoveries, inventions, patents, products, videos, graphics, scripts, or other information (Collectively, the "work product") developed in whole or in part by Consultant in connection with this Agreement shall be the exclusive property of City. Upon request of City, Consultant shall sign all documents requested by City to confirm or perfect the exclusive ownership of City of the work product. Unless subject to mandatory disclosure pursuant to the State's Public Records Act, any work product identified as confidential shall not be released to external entities without the expressed written consent of Consultant. Any work product in the possession of Consultant shall be delivered to City at least ten (10) days prior to the termination of this Agreement. INDEPENDENT CONSULTANT. Consultant is not an employee of the City and shall have no power to incur any debt, obligation or liability on behalf of the City. Consultant is not entitled to any benefits paid or given to employees of the City. Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall be provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 8. TERMINATION FOR CONVENIENCE. City or Consultant may terminate this Agreement at any time without cause by giving fifteen (15) days written notice of such termination to the non-terminating party, and by specifying the effective date thereof. If this Agreement is terminated by City, Consultant shall be paid for its services rendered to City as of the date of termination. 9. TIME OF COMMENCEMENT AND PERFORMANCE. Consultant shall commence its services under this Agreement upon receipt of a notice to proceed from City which shall represent the City's consent to execute all of the provisions and inclusions of this Agreement. Consultant shall complete the performance of services required by this Agreement as directed in writing by the designated project manager. Any adjustment to this performance deadline shall be made only by prior written agreement between the parties. 10. TERM. This Agreement shall commence on June 1, 2012, and shall remain valid unless otherwise terminated pursuant to Section 8 of this Agreement. 11. ASSIGNMENT. This Agreement requires services of a unique and specific nature, and therefore, may not be assigned, in whole or part, without the prior written consent of City. 12. AMENDMENT. This Agreement shall not be amended without the written consent of both parties. 13. NOTICE. Written notices to the Consultant shall be given by United States mail, postage prepaid, and addressed to: Cit Com, Inc., Attention: William Romesburg, PO Box 890513, Temecula, California 925 89-05 1 3. Santa Ana, CA 92702. 14. ENTIRE AGREEMENT. This Agreement shall constitute the entire Agreement between the parties.
