Authorize the Executive Director and the Agency Secretary to execute the attached agreement with James Gartner & Associates, Architects, Inc. in the amount of $63,700, subject to non - substantive changes approved by the Executive Director and Agency General Counsel. 2. Approve a total budget of $72,000 to cover reimbursable expenses and contingencies. DISCUSSION The Community Redevelopment Agency (Agency) is interested in preserving three homes that were acquired in the Santa Ana Boulevard area. The homes will be relocated to sites owned by the Agency in the French Park and Lacy Neighborhoods. The current locations of the homes and their proposed new locations are illustrated on Exhibit 1 and listed below: Current Location New Location 617 E. 5 th Street 416 E. Lacy Street 505 E. 5 th Street 717 E. 3 Id Street In order to accomplish the relocation of these homes, the Agency requires the assistance of a qualified architect. A notice requesting proposals for architectural services was published on two separate dates in the Orange County Register and mailed to nine architectural firms that had previously indicated an interest in working with the Agency. Proposals were received from three qualified firms and are summarized below: 3 -1 Agreement with James Gartner & Associates, Architects, Inc. James Gartner & Associates, Architects, Inc. was selected as the most responsive proposal. The total amount of the proposal was $63,700. Agency staff is recommending a total budget of $72,000 which includes $8,300 for reimbursable expenses and contingencies. The architect will be responsible for the preparation and submittal of all necessary drawings, specifications and engineering for the relocation and rehabilitation of the homes. The architect will collaborate with City Agencies, French Park and Lacy Neighborhoods. The approved plans and specifications will be used by the Agency to solicit competitive bids from general contractors. Lacy Street 717 E. 3rd Street THIS PAGE LEFT BLANK INTENTIONALLY 3 -4 CONSULTANT AGREEMENT THIS AGREEMENT, made and entered into this _ day of August, 2008, by and between James Gartner & Associates, Architects, Inc., a California corporation (hereinafter "Consultant ") and the Community Redevelopment Agency of the City of Santa Ana, a public body, corporate and politic (hereinafter "Agency "). RECITALS A. The Agency desires to hire a Consultant to perform professional architectural services for the Agency. B. Consultant represents that it is able, qualified and willing to provide such services to the Agency. C. In undertaking the performance of this Agreement, Consultant represents that it is Imowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall provide full service architectural services for the Agency in accordance with its Proposal, attached hereto and incorporated as Exhibit A to this Agreement. Consultant shall prepare and submit all drawings, specifications and engineering for the relocation and rehabilitation of three Agency -owned homes. 2. COMPENSATION a. Agency agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. The contract award for such services pursuant to the Consultant's Proposal shall not exceed Sixty Three Thousand Seven Hundred Dollars ($63,700.00). The project budget allows for additional funds for reimbursable expenses and contingencies, supported by adequately documented approved change orders /invoices, in the amount of Eight Thousand Three Hundred Dollars ($8,300.00). Therefore, the total sum to be expended under this Agreement shall not exceed Seventy Two Thousand Dollars ($72,000.00). b. Payment by Agency shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to Agency accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by Agency. 375 3. TERM This Agreement shall commence on the date first written above and terminate upon expenditure of all funds, unless terminated earlier in accordance with Section 12, below. 4. OWNERSHIP OF MATERIALS, SUPPLIES, DRAWINGS, SPECIFICATIONS, PROGRAMS AND SYSTEMS Any and all records, papers, drawings, specifications, programs, systems and other materials prepared by Consultant pursuant to this Agreement shall be the property of the Agency. Consultant agrees to provide Agency with any such materials whenever requested to do so. 5. INDEPENDENT CONTRACTOR Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the Agency. This Agreement is not intended nor shall it be construed to create an employer - employee relationship, a joint venture relationship, or to allow the Agency to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall be provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. INSURANCE Prior to undertaking performance of work under this Agreement, Consultant shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Consultant shall maintain commercial general liability insurance naming the Agency, its officers, agents, volunteers, and employees as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Consultant's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. Consultant shall supply Agency with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit B upon execution of this Agreement and shall be approved in form by the Agency General Counsel. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. 3-16 c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self - insurance. Prior to commencing the performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. If Consultant is or employs a licensed professional such as an architect or engineer: Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. e. The following requirements apply to the insurance to be provided by Consultant pursuant to this section: (i) Consultant shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the Agency upon execution of this Agreement and shall be approved in form by the Agency Legal Counsel. (iii) Certificates and policies shall state that the policies shall not be cancelled or reduced in coverage or changed in any other material aspect without thirty (3 0) days prior written notice to the Agency. f If Consultant fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the Agency with required proof that insurance has been procured and is in force and paid for, the Agency shall have the right, at the Agency's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the Agency for any work performed prior to approval of insurance by the Agency. 7. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the Agency, its officers, agents, employees, contractors, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all costs for the defense of the Agency, including fees and costs for special counsel to be selected by the Agency, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, 377 restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. Agency may make all reasonable decisions with respect to its representation in any legal proceeding. 8. CONFIDENTIALITY If Consultant receives from the Agency information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non -use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the Agency. 9. CONFLICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 10. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To Agency: and, Community Redevelopment Agency City of Santa Ana — Housing Division 20 Civic Center Plaza (M -37) P.O. Thereafter, any notice, tender, demand, delivery, or other communication shall be addressed and transmitted to the new address. If sent by mail, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given twenty -four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the Agency and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the Agency and by an authorized representative of Consultant. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof, shall not bind or obligate Consultant nor the Agency. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the Agency and any such assignment, transfer, delegation or subcontract without the Agency's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the Agency's ability to have any of the services which are the subject to this Agreement performed by Agency personnel or by other consultants retained by Agency. 37-9 13. TERMINATION This Agreement may be terminated by the Agency upon thirty (30) days written notice of termination. In such event, Consultant shall be entitled to receive and the Agency shall pay Consultant compensation for all services performed by Consultant prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Consultant to deliver to the Agency all work product completed as of such date, and in such case such work product shall be the property of the Agency unless prohibited by law, and Consultant consents to the Agency's use thereof for such purposes as the Agency deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 14. DISCRIMINATION Consultant shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Consultant affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 15. JURISDICTION - VENUE This Agreement and all questions relating to its validity, interpretation, performance, and enforcement shall be government and construed in accordance with the laws of the State of California. This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Consultant shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Consultant shall notify the Agency immediately and in writing of her inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 3--610 17. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, Agency and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify Agency fully, including reasonable costs and attorney's fees, for any injuries or damages to Agency in the event that such Agency or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. 3-711 IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and year first above written. Gartner, AIA President City of Santa Ana Historic Resources Commissioner, Santa Ana, CA James Gartner was one of the charter appointees of the City of Santa Ana Historic Resources Commission. The term started at the inception of the commission with the term ending in March of 2005. This appointment has provided Mr. Gartner with an invaluable experience working with the Historic French Park community as well as all the historic areas of Santa Ana. City of Santa Ana Planning Commissioner, Santa Ana, CA James Gartner is currently serving as a Planning Commissioner with the City of Santa Ana. Approximately two years of a four year appointment has been completed. Working as a Planning Commissioner has proven invaluable and has provided Mr. Gartner with opportunities to work alongside public agencies beyond the normal professional level. The Power Block Building, Helena, MT This project consisted of a complete interior and exterior restoration of a six story historic stone building. Interior spaces were completely remodeled to achieve the historic character lost in multiple renovations. The historic fagade was meticulously restored to its original condition. The Myhre Building, Helena, MT This historic building was designed in the 1930's and completely renovated to bring it back to its original character. James Gartner & Associates Architects, Inc — Offices James & Nancy Gartner purchased a 1950's historic structure and have meticulously renovated the formally neglected exterior. Custom metal work and exterior skins were designed and fabricated to fully match the original detailing. This is a project still in the works and will provide an excellent opportunity to review our current work. Jorge Pena AIA, Principal Avance National Headquarters, San Antonio, Texas, renovation of Historic Heimann Building, in Cattlemen Square Historic District. This project was the recipient of the following awards: "2005 National Preservation Honor Award" from the National Trust for Historic Preservation. Page 2 3-14 June 5, 2008 Certificate of Recognition for "New Livable Communities in San Antonio" from the San Antonio Chapter of the American Institute of Architects 2006 Historic Preservation Award from the San Antonio Conservation Society. This project consisted in the restoration of a historic landmark that was build in 1907, designed by renown Texas Architect Atlee B. Ayers, in the Cattlemen Square historic district, it was abandoned for the previous 30 years, and now is the headquarters of the non - profit organization Avance Inc. We worked with this Client in obtaining federal tax credits from the Texas Historical Commission and the National Parks Service, as well as the local San Antonio Conservation Society, and the local neighborhood group "Cattlemen Square Association ". Mr. Pena presented this project at the Santa Ana Historical Preservation Society monthly meeting in 2005, at the request of Mr. Guy Ball, Treasurer of SAHPS. Historic Guadalupe Theater, San Antonio, Texas, renovations /additions and ADA upgrades. This project is located on the historic west side /downtown district. It reflects the strong Hispanic influence with its rich colors and textures. We worked closely with the "City of San Antonio Historic Preservation" and the "Avenida Guadalupe Association" neighborhood group, in ensuring a minimum disruption of the Theater activities and surrounding properties during the renovations. Historic El Mercado, San Antonio, Texas, renovations /additions. This project is located in the historic "El Mercado" area in downtown San Antonio; it consisted in the renovation of the south fagade, incorporating a colonnade to allow street vendors to locate their merchandise, a service area adjacent to the main building and the renovation of an existing Mexican restaurant. We worked closely with the "El Mercado Merchants Association ", the "City of San Antonio Historic Preservation" and "Cattlemen Square Association ". To ensure a smooth operation during the construction o this high tourist traffic pedestrian area. These projects consisted of the relocation of five houses in various Orange County locations including Placentia, Santa Ana, and Anaheim, during 1989 and 1990, these homes were displaced from Costa Mesa to widen several streets, and relocated to qualifying property owners that owned a residential lot in Orange County. Our goal will be to successfully relocate to a new site three historic Santa Ana homes, Included in this process will be the necessary design documents needed to facilitate this relocation and restoration, Our collective experience, coupled with an ongoing working relationship with The City of Santa Ana will facilitate the end goal. Our firm is available immediately to begin the design process. The time required will be in line with normal expectations of review periods. Typical experience of time lines for Site Plan Review is four to six months. Mr. Gartner's first formal office was located in the City of Santa Ana Business Enterprise Center in mid 1987. The firm remained in this location for four years. Our new home after a successful start and assistance from the City of Santa Ana was at #3 Hutton Centre also in the City of Santa Ana. Our current location is at 2036 N. Broadway, Santa Ana, CA. This building is owned by James & Nancy Gartner and has provided a permanent home for our offices for the past nine years. Our firm is staffed by two licensed architects, James R. Gartner AIA and Jorge Pena AIA. In addition we employ a Sr. Designer, a draftsman, and a professional executive assistant, We have found that by keeping our firm small it has afforded us hands on opportunities to compete for large and small projects. For example one of our largest clients is The Cheesecake Factory. The knowledge required to provide design services for one of America's most complex restaurants is staggering. Yet, they prefer firms between six and eight persons so that they can receive personal attention. Our consulting engineers are all from the local area. The structural engineer that we intend to utilize for this project is located in Santa Ana (Langston & Associates). Jim Langston has provided, almost exclusively, engineering services for our firm since its founding, Our working knowledge of The City of Santa Ana, our commissioner experience, commercial property ownership, as well as both Principals living and working in Santa Ana will provide commitment and expertise to the relocation and restoration of these historic homes. 3 -16 Page 4 June 5, 2008 The Principal's in Charge will be James Gartner and Jorge Pena. Our combined historical experience will afford us the opportunity and expertise to coordinate, collaborate, and execute the necessary documents for Site Plan Review and the final Construction Documents for the successful relocation and restoration of these homes. We are available to proceed with work immediately upon the award of this project. Our resumes have been attached for your review of our educational requirements. Phase One: The preparation and submittal of all drawings and specifications for Site Plan & Neighborhood project review by the City's Planning Division and the Historic French Park Association. Required collaboration with the City of Santa Ana Agencies and the Historic French Floral Park Association is included in this first phase of work. Site Plan Review Preparation: $20,000.00 Phase Two: Preparation and submittal of all construction drawings, specifications, and engineering for plan check review. Preparation of project specifications detailing the relocation and rehabilitation of the existing dwellings.
