DATE: T2 -r t— I� FIFTH AMENDMENT TO AGREEMENT A- 2009 - 159 -04 THIS FIFTH AMENDMENT TO AGREEMENT is entered into on I" day of October, 2013, by and between AON cSolutions, Inc. (formerly Valley Oak Systems, Inc.), a California corporation ("Cons ultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"), a RECITALS: t A. The parties entered into that certain agreement entitled "Software Maintenance and Support Agreement (A- 2007 -049) dated February 20, 2007 (hereinafter "said Agreement ") for maintenance and support services for the AON workers' compensation and liability claims software utilized by the City's Personnel Agency, Risk Management Division. B, By Amendment dated September 8, 2009„ September 7, 2010; September 27, 2011, and / September 25, 2012 the parties extended the terms of said Agreement. C. In accordance with the terms and conditions of said Agreement, the parties now wish to amend the termination date and increase the amount of compensation. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Fourth Amendment to Agreement, the parties agree as follows: 1. Section 3.a., TERM AND TERMINATION, shall be amended to extend the term for an additional one -year period, through September 30, 2014. In order to provide continuous uninterrupted service, all services provided by Consultant since September 30, 2013 shall be included within the Scope of Services of this Agreement. 2. Section 4.c., FEES AND CHARGES, shall be amended to increase compensation to pay for the additional services during the extended period as set forth in Exhibit B -1 (Year 5), attached hereto and incorporated by this reference. The total not to exceed amount during this contract period shall be $45,000. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain In full force and e,lfect. Fee Schedule 1. The anticipated cost per year for annual IVOS maintenance fees to include annual CPI index increases not to exceed 5 %. Current Maintenance Amount: $28,507.55 (5% annual increase) payable 9/30 each year.
