THIS FIRST AMENDMENT, made and entered into this day of August, 2014, by and between South
Orange County Community College District dba Saddleback Coll ge, Rapid Tech ( "CONTRACTOR") and the City
of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws
of the State of California ( "City ").
RECITALS

A. The City and CONTRACTOR entered into that certain Agreement on February 6, 2012 ( #A- 2012 -019)
hereinafter referred to as "said Agreement" for CONTRACTOR to provide software, internship development, a
summer engineering institute program, and collaborate with the design and implementation of the Core Engineering
Bridge Curriculum for the H -113 Technical Skills Training Grant.
K) B. The parties hereto now desire to amend said Agreement and Exhibit E to reduce the CONTRACTOR's
funding annount.
WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and
made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do
hereby agree as follows:
1. Section 11. A, "CITY'S OBLIGATIONS" shall be amended to decrease funds to CONTRACTOR by
Eighty Nine Thousand Four Hundred Dollars ($89,400), so that the total amount of funds to CONTRACTOR
trader said Agreement, as amended, shall not exceed Two Hundred Twenty Six Thousand Six Hundred Dollars
($226,600). An updated and revised Budget is attached hereto and incorporated herein as the amended Exhibit
E. Section II.B. allows for adjustment: of the Budget so long as the total amount of Budget does not increase.
1 Except as herein above modified, the terns and conditions of said Agreement remain unchanged and in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to said Agreement the date
and year first above written.
