EXCLUSIVE RIGHT TO NEGOTIATE AGREEMENT
* j ` THIS AMENDMENT, is made and entered into this c�3elo day of June 2015, between
4 St. Joseph Health System, a California nonprofit public benefit corporation ( SJHS "), Taller San Jose, a
California nonprofit public benefit corporation ( "TSJ "), and the City of Santa Ana, California, a municipal
corporation organized as a charter city ( "CITY ").
WHEREAS, an Exclusive Right to Negotiate Agreement ( "Agreement ") was entered into
between SJHS, TSJ, and the CITY on September 17, 2014. SJHS and TSJ together are referred to as
( "DEVELOPER ") as specified in the Agreement; and
WHEREAS, CITY and DEVELOPER mutually agree to amend the Agreement to extend the
negotiation period for no more than one hundred eighty (180) days pursuant to Section 4 of the
04 Agreement.
NOW THEREFORE, CITY AND DEVELOPER hereto, intending to be legally bound, do
hereby agree to the following amendment:
1. Term of Agreement. The term of the negotiation period, pursuant to Section 4 of
the Agreement, shall be extend from May 12, 2015 through November 11, 2015.
In all other respects, the terms of the Agreement between CITY and DEVELOPER shall
apply.
All other terms and conditions of the Agreement shall remain unchanged, and except as
expressly modified by this Amendment, the Agreement shall remain in full force and effect.

Please accept this letter as confirmation that the City of Santa Ana has extended the
exclusive right to negotiate period for another six (6) months as provided by the terms of the
Exclusive Right to Negotiate Agreement ( #A- 2014 -220). The negotiation period is hereby
extended six months beginning from May 12, 2015 and ending on November 11, 2015.
The City of Santa Ana looks forward to continuing productive discussions related to the
reuse of the YMCA property and views this as a terrific opportunity for development of a fitness
center, a wellness center and related programs that benefit the health and welfare of our
residents.
