SA PD'z2) it MEMORANDUM BETWEEN CITY OF SANTA ANA POLICE AND CALIFORNIA DEPARTMENT OF CORRECTIONS & REHABILITATION DIVISION OF ADULT PAROLE OPERATIONS This memorandum of understanding (MOU) is to serve as a donated space arrangement executed on February 16, 2016, by and between the City of Santa Ana (City) and the Santa Ana Police Department (SAPD) and the California Department of Corrections & Rehabilitation, Division of Adult Parole Operations (CDCR). The SAPD will supply CDCR the use of office space rent-free at 60 Civic Center Plaza, in the City of Santa Ana, County of Orange. The days, hours, and frequency of use of the office space will vary. SAPD will supply all repair, maintenance, janitorial supplies and services to the office space. Furthermore, SAPD will be responsible for all charges for utilities for the office space. Parole Agents Alejandro Garcia and David Padore will provide CDCR services to SAPD to fulfill the recognized need for an on-site Parole Agent and agree to abide by all rules and regulations relating to use of the Santa Ana Police Department facilities. Each party will be responsible for its own employees' conduct in the event that there is a claim for worker's compensation damages, government tort claim, litigation, and/or any claim regarding the conduct of any employee of the either party as a result of this MOU. CDCR shall indemnify and save harmless City and SAPD its officers agents and employees from and against any and all claims, demands, losses, or liabilities of any kind or nature which City and SAPD its officers, agents and employees may sustain or incur or which may be imposed upon them for injury to or death of persons or damage to property as a result of or arising out of the sole negligence of CDCR its officers, agents, employees, subtenants, invitees or licensees, in connection with the occupancy and use of the premises by the CDCR. Likewise City and SAPD shall indemnify and save harmless CDCR, its officers, agents, and employees from and against any and all claims, demands, losses, or liabilities of any kind or nature which City and SAPD, its officers, agents, and employees may sustain or incur or which may be imposed upon them for injury to or death of persons or damage to property as a result of or arising out of the sole negligence of SAPD its officers, agents, employees, subtenants, invitees or licensees, in connection with the ownership, This arrangement shall continue indefinitely, but may be terminated by either party, or by the appropriately designate successor, hereto at any time by giving (30) days' written notice to: Enrique Gonzalez District Administrator South Coast District 2911 E.
