<br />INSU":'.:lCE NOT REQUIHED <br />.. \N()RK ,W PFI}GICEI) <br />CLERK Of COUNCil <br /> <br />OJI.TE: ,~? j. - 0 , <br /> <br />A-2005-279 <br /> <br />AGREEMENT BETWEEN THE YMCA <br />AND THE CITY OF SANTA ANA <br />FOR THE EXPENDITURE OF GRANT FUNDS <br />TO PROMOTE HEAL THY LIVING <br /> <br />THIS AGREEMENT made and entered into this 21 st day of November, 2005 by and <br />between the YMCA of Orange County, a California 501(c)(3) non-profit corporation (hereinafter <br />"YMCA"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The YMCA desires to work with the City to promote healthy life styles by supporting <br />the City's "Santa Ana Active Living United Districts" (SALUD) initiative. <br /> <br />B. City agrees to utilize grant funds to produce and distribute educational and outreach <br />materials. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />I. SCOPE OF SERVICES <br /> <br />City shall produce educational and outreach materials, such as brochures and maps, in <br />both English and Spanish, directed at Santa Ana residents, to help start and promote bike trail <br />clubs focusing on walking, bicycling and running, as part of the City's SALUD initiative. <br /> <br />2. COMPENSATION <br /> <br />YMCA agrees to pay, and City agrees to accept as total payment for its services, $18,000 <br />which sum will pay for the creation, production and distribution of the brochures and maps as set <br />forth in Exhibit A, attached hereto. <br /> <br />3. TERM <br /> <br />This Agreement shall commence on November I, 2005 and terminate on May 31,2007, <br />unless terminated earlier in accordancc with Section 12, below. The term of this Agreement may <br />be extended upon a writing executed by the Executive Director of the Parks, Recreation and <br />Community Services Agency and the City Attorney. <br /> <br />4. INDEPENDENT CONTRACTOR <br /> <br />City shall, during the entire term of this Agreement, be construed to be an independent <br />contractor and not an employee of the YMCA. <br />
