This swerves as an agreement between the City of Santa Ana ("City") and 2 Roads Pictures ("Producer"), as of January 28, 2011, in connection with the program series that is currently entitled "Cufr d- ("Program"), which is produced by Producer. In J consideration of lacing, permitted to enter the City of Santa. Ana property(ies) ("Premises') and to film activities and personnel for the purpose of creating the Program, a Producer agrees to the following. C?- 2. The City hereby authorizes Producer to hlm activities and personnel, providing such personnel voluntarily consent to being filmed, as permitted by the Santa: Ana Police Department ("Department') on or off its premises for the creation of the Program. The times and dates of entry to the Premises and the Producer's filming activity of Department activities and personnel will be subject to and under the control of the Department :officer tn charge, and are subject to modification or termination at anytime the Department officer determines such is necessary., For the avoidance of doubt, Producer shall not be obligated to produce the Program, or make any actual use of recordings made on or of the Premises or to use any name connected with the Premises in connection with the Program. Producer may place: all necessary facilities and equipment, on the Premises, and agrees to remove the same after completion of work and leave the Premises to as good condition as when it was received, reasonable wear and tear from uses permitted herein excepted. City shall not be responsible for any such facilities and/or equipment left an the Premises at any time. 3. Except as set forth in Paragraphs 2, 44 and 5 herein, Producer shall have the right to enter the Premises and set up production thereon; the right to photograph, film, tape and record any and all people and activities (including, without limitation, conversations, encounters and interactions between occupants) on, the Premises, any name connected with the Premises, and any photographs, artworks, signs and/or other properties of any hind or nature located on the Premises, and any logos, trademarks and verbiage contained thereon, in connection with or as part of the Program; the right to refer to the Premises by its real name: the right to refer to any real or fictitious persons and/or events as having occurred on the Premises; the right to blur the images of any occupants an the Premises so that they are not readily recognizable; the right to edit, modify, add to or delete material to any photograph(s) and recording(s) created hereunder; and the right to use (and authorize others to use) such photograph(s) and recording(s) in any and all media, formats and manner whatsoever, whether now known or hereafter devised, throughout the universe in perpetuity (collectively "Granted Rights"). Producer shall be the sole owner of all right, title and interest in and to the Program and any photograph(s) and recording(s) made hereunder, including all copyrights therein and all renewals, extensions and restorations of said copyrights. 4. The rough cut of any footage to be used for the Program that the Producer intends to include in the Program, or any other use of such footage, shall be submitted to the N-2011-013 KIST 05ro128711 Location Agnit and Release.'
