Contractor must utilize management practices that ensure that its <br />Transportation Personnel, working extended shifts, part-time jobs, voluntary <br />overtime or mandatory overtime, are not exhausted, overworked, or exhibiting <br />impaired judgment or motor skills. <br />5.1.2 Employee Removal <br />At the request of the OCFA (in the sole discretion of either) and based on a <br />demonstrated pattern of either poor performance, misconduct, or service <br />complaints, Contractor shall remove any Transportation Personnel designated by <br />the OCFA from performing further duties under the Contract. <br />5.2 CONTROL <br />Neither the County, the City, of Santa Ana or OCFA, or any of their respective <br />officers, elected officials, agents, representatives, or employees, shall have any control <br />over the conduct of Contractor's employees except as specifically set forth in the Contract <br />Documents. Under no circumstances shall Contractor or any of its employees represent <br />that they are in any manner agents or employees of the City of Santa Ana, County or <br />OCFA, it being understood that Contractor its agents and employees are as to the City of <br />Santa Ana, County and OCFA, wholly independent contractors and that Contractor's <br />obligations to the City of Santa Ana and OCFA are solely those prescribed by the Contract <br />Documents.
