, 't A-2019-071 <br />MAY 2019 <br />CEO1SBUSSA-017-b0 <br />SSA/City of Santa Ana <br />A L <br />(�cb0Cay(�>F.l�r 1' SUBLEASE <br />THIS IS A SUBLEASE AGREEMENT (hereinafter referred to as "Sublease") made , <br />2019 ("Effective Date"), by and between the CITY OF SANTA ANA, a charter city and municipal <br />corporation, organized and existing under the Constitution and laws of the State of California, (hereinafter <br />referred to as "Sublessor"} and the COUNTY OF ORANGE, a political subdivision of the State of <br />California (hereinafter referred to as "County") without regard to number and gender. The Sublessor and <br />County may individually be referred to herein as a "Party," or collectively as the "Parties." <br />RECITALS <br />A. The Sublessor, as a lessee, entered into a lease agreement on October 7, 2017 ("Master Lease"), with CF <br />SANTA ANA, LLC ("Owner"), for approximately Nineteen Thousand Three Hundred and Twenty-one <br />(19,321) rentable square feet (RSF) of office space on the second floor of an office building located at 801 <br />West Civic Center, Suite 200, in Santa Ana ("Sublessor's Premises"). <br />B. The County, as a participant in the CalWORKs program and the One -Stop Center concept, proposes to <br />sublease, within Sublessor's Premises, approximately Two Hundred Sixty -One (261) RSF of exclusive office <br />space and approximately Nine Hundred Ninety Nine (999) RSF of non-exclusive office space, from Sublessor, <br />which spaces may vary from time -to -time upon prior written approval of both Parties. <br />C. Sublessor has provided appropriate notice to Owner and received consent to Sublease a portion of <br />Sublessor's Premises, as described herein, to County pursuant to the Master Lease. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants and conditions contained <br />herein, the Parties agree as follows: <br />1. DEFINITIONS (1.1 S) <br />"Board of Supervisors" means the Board of Supervisors of the County of Orange, a political subdivision of <br />the State of California. <br />"Building" means the building commonly known as 801 Civic Center, Santa Ana, constituting a portion of <br />the Premises. <br />"Chief Real Estate Officer" means the Chief Real Estate Officer, County Executive Office, County of <br />Orange, or upon written notice to Sublessor, such other entity as shall be designated by the County Executive <br />Officer. <br />"County Executive Officer" means the County Executive Officer, County Executive Office, County of <br />Orange, or designee, or upon written notice to Sublessor, such other person or entity as shall be designated by <br />the Board of Supervisors. <br />"Risk Manager" means the Risk Manager, County Executive Office, Risk Management, County of Orange, <br />or designee, or upon written notice to Sublessor, such other person or entity as shall be designated by the <br />County Executive Officer or the Board of Supervisors. <br />ES: 9/20118 Page I of 17 <br />SUBLEASE 801 Civio Center <br />
