City of Santa Ana <br />individuals to the key positions. Provide a list of staff who will be assigned <br />under this contract. <br />1. The Contractor agrees that, once assigned to work under this contract, <br />key personnel shall not be removed or replaced without written notice <br />to the City. <br />2. If key personnel are not available for work under this contract for a <br />continuous period exceeding thirty (30) calendar days, or are expected <br />to devote substantially less effort to the work than initially anticipated, <br />the Contractor shall immediately notify the City, and shall, subject to <br />the concurrence of the City, replace such personnel with personnel of <br />substantially equal ability and qualifications. <br />E. Independent Contractor: <br />Contractor is considered an independent Contractor and neither Contractor <br />or its employees, nor anyone working under Contractor will be considered an <br />agent or an employee of the City. Neither Contractor, its employees, nor <br />anyone working under Contractor, will qualify for Workers' Compensation or <br />other fringe benefits of any kind through the City. <br />F. Litigation Status: <br />Each Proposer must include in its proposal a complete disclosure of any <br />alleged significant prior or ongoing contract failures, any civil or criminal <br />litigation or investigations pending which involve the Proposer or in which the <br />Proposer has been judged guilty or liable. Failure to comply with the terms of <br />this provision will disqualify any proposal.
