Provider will invoice the City on the first of each month. Payment by City shall be <br />made within thirty (30) days following receipt of proper invoice evidencing work <br />performed, subject to City accounting procedures. Payment need not be made for <br />work, which fails to meet the standards of performance set forth in the Recitals, and <br />Scope of Work, which may reasonably be expected by City. <br />MIMME Y �f AVId <br />This Agreement shall commence on January 21, 2020 and terminate on January 20, 2021, <br />unless terminated earlier in accordance with Section 15, below. There shall be two optional one- <br />year extensions allowed pursuant to this Agreement and exercisable by the City with the approval <br />of the Provider. Additionally, the parties agree that certain specified sections of this Agreement <br />will survive termination or expiration of the Agreement. <br />4. INDEPENDENT PROVIDER <br />Provider and its employees, agents and officers shall, during the entire term of this <br />Agreement, be construed to be independent Providers and not employees of the City. This <br />Agreement is not intended nor shall it be construed to create an employer -employee relationship, <br />a joint venture relationship, or to allow the City to exercise discretion or control over the <br />professional manner in which Provider performs the services which are the subject matter of this <br />Agreement; however, the services to be provided by Provider shall be provided in a manner <br />consistent with all applicable standards and regulations governing such services. Provider shall <br />pay all salaries and wages, employer's social security taxes, unemployment insurance and similar <br />taxes relating to employees and shall be responsible for all applicable withholding taxes. Provider <br />is not an agent, representative, or employee of the City and Provider shall have no authority to act <br />on behalf of the City. <br />5. INSURANCE <br />Prior to undertaking performance of work under this Agreement, Provider shall maintain <br />and shall require its subcontractors, if any, to obtain and maintain insurance as described below: <br />#21956v2 <br />25i-5 <br />
