A. It will take direction from City to effect the transfer of possession of <br />equipment and property to City for City's use, or for use by any Person or entity <br />designated by the City. <br />B. It will, if City so requests, keep in good repair and condition all of such <br />equipment and property, provide all motor vehicles with fuel, oil and other service, and <br />provide such other service as may be necessary to maintain said property in operational <br />condition. <br />C. City may immediately engage all or any personnel necessary or useful for <br />the Collection and transportation of Solid Waste, including, if City so desires, <br />employees previously or then employed by Contractor, Contractor further agrees, if <br />City so requests, to furnish City the services of any or all management or office <br />Personnel employed by Contractor whose services are necessary or useful for Solid <br />Waste Collection, transportation, processing and Disposal operations and for the billing <br />and Collection of fees for these services. <br />City agrees that it assumes complete responsibility for the proper and normal use of <br />such equipment and facilities while in its possession. <br />If the interruption or discontinuance in service is caused by any of the reasons listed in <br />Section 11.5, City shall pay to Contractor the reasonable rental value of the equipment <br />and facilities, possession of which is taken by City, for the period of City's possession, if <br />any, which extends beyond the period of time for which Contractor has rendered bills <br />in advance of service, for the class of service involved. <br />10.2 Temporary Possession of Contractor's Property <br />If City suffers an interruption or discontinuance of service (including interruptions and <br />discontinuance due to events described in Section 11.5), City may take possession of <br />and use all of Contractor's property described above until other suitable arrangements <br />can be made for the provision of Solid Waste Services which may include the grant of a <br />Franchise to another waste hauling company. <br />10.3 Billing and Compensation to City During City's Possession <br />During such time that City is providing Solid Waste services, as above provided, <br />Contractor shall bill and Collect payment from all users of the above -mentioned <br />March 9, 2020 117 City of Santa Ana - DRAFT <br />60A-206 <br />
