TERM <br />The term of this Agreement shall commence on July 1, 2020, and terminate on June 30, <br />2022, unless earlier terminated pursuant to the provisions of Paragraph 42 of this Agreement; <br />however, CONTRACTOR shall be obligated to perform such duties as would normally extend <br />beyond this term, including, but not limited to, obligations with respect to indemnification, audits, <br />reporting and accounting. CONTRACTOR and ADMINISTRATOR may mutually agree in <br />writing to extend the term of this Agreement, for up to twelve (12) additional months upon the <br />same terms and conditions, provided that COUNTY's maximum obligation as stated in <br />Subparagraph 20.1 of this Agreement does not increase as a result. <br />2. ALTERATION OF TERMS <br />2.1 This Agreement, including any Exhibit(s) attached hereto and incorporated by <br />reference, fully expresses all understandings of the parties and is the total Agreement between the <br />parties as to the subject matter of this Agreement. No addition to, or alteration of, the terms of this <br />Agreement, whether written or verbal, are valid or binding unless made in the form of a written <br />amendment to this Agreement which is formally approved and executed by both parties. <br />2.2 The various headings, numbers, and organization herein are for the purpose of <br />convenience only and shall not limit or otherwise affect the Agreement. <br />3. STATUS OF CONTRACTOR <br />3.1 CONTRACTOR is, and shall at all times be deemed to be, an independent <br />contractor, and shall be wholly responsible for the manner in which it performs the services <br />required of it by the terms of this Agreement. Nothing herein contained shall be construed as <br />creating the relationship of employer and employee, or principal and agent, between COUNTY <br />and CONTRACTOR or any of CONTRACTOR's agents or employees. CONTRACTOR assumes <br />exclusively the responsibility for the acts of its employees or agents as they relate to services to be <br />provided during the course and scope of their employment. <br />3.2 CONTRACTOR, its agents, and employees shall not be entitled to any rights and/or <br />privileges of COUNTY employees, and shall not be considered in any manner to be COUNTY <br />employees. <br />WGM0319 <br />Pa 4 of 40 <br />2M-6 <br />3-31-2020 <br />
