Mandatory Sinking Fund Payment <br /> The term "Mandatory Sinking Fund Payment" means, with respect to the <br /> Bonds, each amount so designated and established pursuant to this Indenture. <br /> Maximum Annual Debt Service <br /> The term "Maximum Annual Debt Service" means, as of the date of <br /> calculation, the greatest total Annual Debt Service payable in any Bond Year during the <br /> period commencing with the then current Bond Year and terminating with the last Bond Year <br /> in which the Bonds are Outstanding. <br /> Net Proceeds <br /> The term "Net Proceeds" means any insurance proceeds or condemnation <br /> award paid with respect to the Leased Property remaining after payment therefrom of all <br /> expenses incurred in the collection thereof. <br /> Nominee <br /> The term "Nominee" means the nominee of the Depository, which may be the <br /> Depository, as determined from time to time pursuant to Section 3.01 hereof. <br /> Opinion of Counsel <br /> The term "Opinion of Counsel" means a written opinion of counsel of <br /> recognized national standing in the field of law relating to municipal bonds, appointed and <br /> paid by the City or the Authority. <br /> Outstanding <br /> The term "Outstanding," when used as of any particular time with reference to <br /> Bonds, means (subject to the provisions of Section 8.02) all Bonds theretofore or thereupon <br /> executed by the Authority and authenticated and delivered by the Trustee pursuant hereto, <br /> except -- <br /> (1) Bonds theretofore cancelled by the Trustee or surrendered to the <br /> Trustee for cancellation; <br /> (2) Bonds paid or deemed to have been paid within the meaning of Section <br /> 10.01; and <br /> (3) Bonds in lieu of or in substitution for which other Bonds shall have <br /> been executed by the Authority and authenticated and delivered pursuant hereto. <br /> LAI-63221.5 11 <br />
