The management, Service, and support of the Purchasing Entity's entire <br />Managed Print Services <br />enterprise and output infrastructure of printed materials, with the objective of <br />(MPS) <br />creating a solution that improves the print process and reduces the expense <br />of printed material. <br />A company that, as its primary business function, designs, assembles, and <br />Manufacturer <br />owns the trademark/patent and markets a Product. Also referred to as <br />Contractor. <br />Manufacturer's <br />Suggested Retail Price <br />The list price or recommended retail price of a Product in which the <br />(MSRP) <br />Manufacturer recommends that the retailer sell the Product. <br />Also referred to as "Contract'; the underlying agreement executed by and <br />Master Agreement <br />between the Lead State, acting on behalf of the NASPO ValuePoint <br />program, and the Contractor, as now or hereafter amended. <br />Multi function Device <br />A Device which incorporates the functionality of multiple Devices into one, <br />(MFD) <br />such as print, fax, copy and scan. Each feature can work independently of the <br />other. <br />The NASPO Cooperative Purchasing Organization LLC, doing business as <br />NASPO ValuePoint, is a 501(c)(3) limited liability company that is a <br />subsidiary organization of the National Association of State Procurement <br />NASPO ValuePoint <br />Officials (NASPO). NASPO ValuePoint is identified in this Master <br />Agreement as the recipient of reports and may perform Contract <br />administration functions relating to collecting and receiving reports as well <br />as other Contract administration functions as assigned by the Lead State. <br />Devices that have not been Refurbished, Remanufactured, rented, leased, <br />Newly Manufactured <br />sold, or used in a demonstration, and are currently being marketed by the <br />Manufacturer. <br />Normal Business Hours <br />8:00 a.m. to 5:00 p.m., Monday through Friday (state holidays excluded), <br />regardless of time zone. <br />NSP items are items that enhance or compliment the Contractor's Product, <br />Not Specifically Priced <br />and may be acquired by a Purchasing Entity under Contractor's Master <br />(NSP) <br />Agreement, but are not listed or priced in Contractor's NASPO ValuePoint <br />Price List. NSP's may include Coin Op equipment, empowering software, <br />etc. NSP items do not include Services. <br />OEM <br />Original Equipment Manufacturer. <br />Any type of encumbrance document or commitment voucher, including, but <br />Order <br />not limited to, a purchase order, contract, MPS statement of work, <br />Maintenance Agreement, lease agreement, rental agreement etc.) <br />A bilateral agreement executed by a Contractor and a Participating State or <br />Participating <br />Entity incorporating this Master Agreement and any other additional <br />Addendum <br />Participating State or Entity specific language or other requirements (e.g. <br />ordering procedures, other terms and conditions). <br />Participating Entity <br />A government entity within a state, or an eligible Non -Profit association, that <br />is properly authorized to enter into a Participating Addendum. <br />Participating State <br />A state, which encompasses all government entities within that state, or the <br />District of Columbia, or one of the territories of the United States, that enters <br />Page 8 <br />Copiers and Managed Pdnt Services - RFP-NP-1e-001, N9SP trPgist p4aster Agreement Tens and Condigons, CMS # 140603 <br />
