Program and certifies that the activities carried out with funds provided under this <br />Agreement will meet one or more of the CDBG program's National Objectives (24 CFR <br />Part 570.208), including the CDBG-CV program's objectives to respond to this historic <br />COVID-19 public health crisis. <br />G. In response to the COVID-19 pandemic, SUBRECIPIENT, a Federally Qualified Health <br />Center that serves low and moderate income persons, meets the national objective for the <br />use of CDBG and CDBG-CV funds. <br />H. SUBRECIPIENT agrees that it will adhere to the Contractor Responsibilities, License <br />and Certification requirements, and Services expectations as indicated in Exhibit A for <br />said Program. Failure to follow the requirements and meet the stated expectations may <br />constitute breach of contract that could result in termination of this Agreement or serve as <br />reason for the CITY to recapture the grant funds paid to SUBRECIPIENT pursuant to <br />this Agreement. <br />WHEREFORE, it is agreed by and between the parties that the foregoing Recitals are a <br />substantive part of this Agreement and the following terns and conditions are approved and <br />together with all exhibits and attachments hereto, shall constitute the entire Agreement between <br />the CITY and SUBRECIPIENT: <br />I. PROGRAM PROVISIONS <br />A. Scope of Work. SUBRECIPIENT shall provide COVID-19 testing to residents of <br />the City of Santa Ana through FDA authorized testing to Public Health priority populations <br />utilizing a volume expandable kiosk model, as approved by the City, in accordance with the <br />Scope of Work attached hereto as Exhibit A and incorporated herein by reference. Any in <br />person COVID-19 testing shall be conducted at testing sites approved by the CITY. <br />SUBRECIPIENT will be responsible for administering the COVID-19 tests. SUBRECIPIENT <br />shall be responsible for setting up the testing sites. SUBRECIPIENT shall be responsible for the <br />specific tasks and services of said Program in compliance with the requirements and expectations <br />as described in the Scope of Work attached hereto as Exhibit A. SUBRECIPIENT's failure to <br />perform as required may, in addition to other remedies set forth in this Agreement, result in <br />readjustment of the amount of funds for said Program or termination of this Agreement. <br />Additionally, if there are any conflicts between the terms or requirements in this Agreement and <br />the applicable exhibits referenced herein, the terms and requirements of this Agreement shall <br />take precedence over the applicable exhibits. <br />B. Term of Agreement. The term of said Agreement shall commence on February 1, <br />2021 and continue through June 30th, 2021 ("Term"), unless terminated earlier pursuant to the <br />terms of this Agreement. This Agreement shall also cover any and all services provided by the <br />SUBRECIPIENT to the CITY since the date the CDBG-CV Funds were awarded to the CITY. <br />Additionally, the Term of this Agreement may be extended by a writing executed by the City <br />Manager, or her designee, and the City Attorney. <br />C. Amount of Funding. The total amount of funds advanced for the program shall <br />not exceed Five Hundred Thousand Dollars US Dollars ($500,000.00 USD) ("Program Funds") <br />2 <br />
