DATA BREACH COVERAGE - DEFENSE AND LIABILITY <br />We will determine the additional premium in <br />accordance with our rules and rates. <br />J. DEFINITIONS <br />The following definitions only apply to this form <br />and any applicable amendatory endorsements. <br />1. "Bodily injury" means physical injury, sickness <br />or disease sustained by a person. <br />2. "Coverage territory" means all parts of the <br />world provided that no trade or economic <br />sanction, embargo, insurance or other laws or <br />regulations prohibit us from paying "loss" in <br />relation to the "data breach". The insured's <br />liability for the "data breach claim" must be <br />determined in the United States of America, <br />Puerto Rico or Canada, in a civil suit or <br />arbitration on the merits, according to the <br />substantive law of United States of America, <br />Puerto Rico or Canada, or in a settlement we <br />agree to. <br />3. "Data breach" means the loss, theft, accidental <br />release or accidental publication of "personally <br />identifiable information", or circumstances <br />objectively giving rise to a substantial risk that <br />such loss, theft, release or publication has <br />occurred. <br />4. "Data breach claim" means a written demand <br />for relief based upon a "data breach" or a <br />"suit" seeking monetary relief based upon a <br />"data breach". <br />5. "Loss" means civil awards, settlements and <br />judgments (including any award or <br />prejudgment interest) that you are legally <br />obligated to pay as a result of a "data breach <br />claim", as well as reasonable and necessary <br />legal fees and expenses incurred in the <br />defense of a "suit" alleging a "data breach <br />claim". With respect to "loss" applicable to a <br />"regulatory proceeding", "loss" will only include <br />reasonable and necessary legal fees and <br />expenses incurred in the defense of a <br />"regulatory proceeding". "Loss" does not <br />include fines, penalties or punitive damages, <br />or the cost of non -monetary relief. <br />6. "Personally identifiable information" means an <br />individual's social security number, bank <br />account number, credit or debit card <br />transactions, driver's license numbers, medical <br />diagnosis, patient history and medications and <br />any other applicable private information that <br />may be defined by state, federal or applicable <br />foreign law. <br />Form SS 00 48 03 16 <br />7. "Property damage" means: <br />a. Physical injury to tangible property, <br />including all resulting loss of use of that <br />property, or <br />b. Loss of use of tangible property that is not <br />physically injured. <br />All such loss of use shall be deemed to occur <br />at the time of the physical injury that caused it. <br />8. "Policy period" means the time beginning with <br />the effective date shown in the Coverage Part <br />Declarations and ending with the earlier of: <br />a. The date of cancellation; or <br />b. The expiration date shown in the <br />Coverage Part Declarations. <br />9. "Regulatory proceeding" means an <br />investigation, demand or proceeding, including <br />a request for information, brought by, or on <br />behalf of, the Federal Trade Commission, <br />Federal Communications Commission or other <br />administrative or regulatory agency, or any <br />federal, state, local or foreign governmental <br />entity in such entity's regulatory or official <br />capacity seeking relief based upon a "data <br />breach". <br />10. "Retroactive date" means the date displayed <br />on the Coverage Part Declarations. If no date <br />is entered on the Coverage Part Declarations, <br />the "retroactive date" is the same as the <br />effective date. <br />11. "Suit" means a civil proceeding or "regulatory <br />proceeding", in which monetary damages are <br />sought for a "data breach claim" to which this <br />insurance applies. "Suit" includes an <br />arbitration proceeding in which monetary <br />damages are sought, and to which the insured <br />must submit, or does submit with our consent; <br />or any other alternative dispute resolution <br />proceeding in which such damages are sought <br />and to which the insured submits with our <br />consent. <br />ew cF RAMwagementDMsian <br />Jy/\'x REVIEWED & APPROVED BY.- <br />V"° <br />--� Risk janagement Analyst <br />
