Each will be individually known as "Party" and collectively known as the "Parties", <br />RECITALS <br />WHEREAS, on July 31, 2018, CITY and AUTHORITY entered into a Purchase and Sale Agreement ("PSND, <br />PSA Reference A-2018-175, whereby CITY and AUTHORITY agreed to grant AUTHORITY (i) two separate <br />easements a Traction Power Substation Easement and a Public Utility Easement on the Property, as more particularly <br />described and depicted in Document Nos. OCS-004-01 and OCS-004-02 and (ii) an Easement Deed on the property as <br />more particularly described and depicted in Document Nos. OCS-008 and (iii) a Platform and Traction Power <br />Substation Easement as more particularly described and depicted in Document Nos. OCS-009-01 and OCS-009-02 <br />attached as Exhibit "1", "2", "3" and "4", respectively to the Original Purchase and Sale Agreement; and <br />WHEREAS, the AUTHORITY has determined that it is necessary to acquire two additional permanent Grant <br />of Easements for utility purposes to support the Traction Power Substations. The first Grant of Easements is two strips, <br />6.00 Feet wide and 14.00 feet wide, over the property designated as Assessor's Parcel Number 008-067-47 ("Civic <br />Center") and is legally described and depicted in Exhibit "A" attached to and made part of the Grant of Easement <br />attached hereto to and incorporated herein as Exhibit 1(the "Southern California Edison Easement at Civic Center"). <br />The second Grant of Easements is a parcel of land over the property designated as Assessor's Parcel Number 398-351- <br />04 ("SARTC") and is legally described and depicted in Exhibit "A" attached to and made part of the Grant of Easement <br />attached hereto to and incorporated herein as Exhibit 2 (the "Southern California Edison Easement at SARTC"); and <br />WHERAS, the Southern California Edison Easement at Civic Center is over a significant portion of the area <br />encumbered by Document Nos. OCS-W4-01, OCS-004-02; and the Southern California Edison Easement at SARTC <br />is over an area encumbered by Document Nos OCS-009-01 and OCS-009-02; and <br />WHERAS, the purpose of this Agreement is to allow the AUTHORITY to acquire the Southern California <br />Edison Easement at Civic Center and the Southern California Edison Easement at SARTC under the terms and <br />conditions as set forth in this Agreement; and <br />WHEREAS, the CITY agrees to Grant the Southern California Edison Easement at Civic Center and the <br />Southern California Edison Easement at SARTC under the terms and conditions as set forth in this Agreement; and <br />WHEREAS, the AUTHORITY agrees that the Southern California Edison Easement at Civic Center and the <br />Southern California Edison Easement at SARTC will be primary to the use and rights granted to OCTA by the City <br />Page 1 of 15 <br />
