ORANGE COUNTY TRANSPORTATION AUTHORITY CONVIDENTIAL <br />This dooutnent contains personal <br />Addendum No. I to Purchase and Sale Agreement infonnatim, and pursuant to Civil Code <br />section 1798.21, it shall be kept confidential <br />in, order to protect against unauthorized <br />disclosure. <br />pursuant to the easements designated as Document Nos, OCS-004-01, OCS-004-02, OCS-009-01 and OCS-009-02; <br />and; <br />WHEREAS, CITY and AUTHORITY wish to add this Addendum No. 1 to the PSA to compensate the CITY <br />for the Southern California Edison Easement at Civic Center under the terms and conditions as set forth in this <br />Agreement; and <br />WHEREAS, it is understood that the CITY will grant at no cost the property interests at SARTC; as defined in <br />Clause 2A in the PSA. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the sufficiency <br />of which are hereby conclusively acknowledged, and subject to the terns and conditions hereinafter set forth, CITY <br />and AUTHORITY mutually agree as follows: <br />1. All terms used herein shall have the meaning assigned to them in the PSA and Addendum No. 1 to the PSA <br />unless the context clearly requires otherwise. <br />2. CITY agrees that the sum of Five Thousand Seven Hundred Seventy -Five dollars and Zero Cents <br />($5,775.00) (the "Purchase Price') shall be considered full and final consideration and just compensation for <br />the grant of the Southern California Edison Easement at Civic Center, <br />3. All other terns, condition, releases, and waivers of the Original PSA remain in full force and effect. <br />4, This Addendum No. 1 may be executed in counterparts, each of which so executed shall, irrespective of <br />the date of its execution and delivery, be decmed an original, and all such counterparts together shall <br />constitute one and the same instru rent.' <br />5.
