ORANGE COUNTY TRANSPORTATION AUTHORITY CONVIDENTIAL This dooutnent contains personal Addendum No. I to Purchase and Sale Agreement infonnatim, and pursuant to Civil Code section 1798.21, it shall be kept confidential in, order to protect against unauthorized disclosure. pursuant to the easements designated as Document Nos, OCS-004-01, OCS-004-02, OCS-009-01 and OCS-009-02; and; WHEREAS, CITY and AUTHORITY wish to add this Addendum No. 1 to the PSA to compensate the CITY for the Southern California Edison Easement at Civic Center under the terms and conditions as set forth in this Agreement; and WHEREAS, it is understood that the CITY will grant at no cost the property interests at SARTC; as defined in Clause 2A in the PSA. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the sufficiency of which are hereby conclusively acknowledged, and subject to the terns and conditions hereinafter set forth, CITY and AUTHORITY mutually agree as follows: 1. All terms used herein shall have the meaning assigned to them in the PSA and Addendum No. 1 to the PSA unless the context clearly requires otherwise. 2. CITY agrees that the sum of Five Thousand Seven Hundred Seventy -Five dollars and Zero Cents ($5,775.00) (the "Purchase Price') shall be considered full and final consideration and just compensation for the grant of the Southern California Edison Easement at Civic Center, 3. All other terns, condition, releases, and waivers of the Original PSA remain in full force and effect. 4, This Addendum No. 1 may be executed in counterparts, each of which so executed shall, irrespective of the date of its execution and delivery, be decmed an original, and all such counterparts together shall constitute one and the same instru rent.' 5.
