emergency or incident, including the cause, size and current situation thereof; resources committed <br />and response status of the emergency management organization; and other matters of general interest <br />to the public, responders, and additional stakeholders (both directly affected and indirectly affected). <br />Categories of notification may include: update, alert, advisory, activation, watch or warning. <br />• Registrant: Member of the public who is enrolled or enrolling in the system. <br />• Security incidents: The potentially unauthorized access to Personal Data or Non -Public Data the <br />Contractor believes could reasonably result in the use, disclosure or theft of the County's unencrypted <br />Personal Data or Non -Public Data within the possession or control of the Contractor. A Security <br />Incident may or may not turn into a Data Breach. <br />• State of California and/or State: As used in Attachment A (CMAS Contract), "State of California" <br />and "State" shall mean the County, its employees and authorized agents and representatives. <br />• System: Automated computerized mass notification system for emergency public and internal <br />responder/relevant personnel notifications, including via cell phone, email, and text. <br />• Technical Failure: A malfunction in the vendor's hardware or software which prevents the <br />accomplishment of the services specified in the Scope of Work. A malfunction of the hardware <br />prevents the accomplishment of the hardware's intended functions and services specified in the Scope <br />of Work. A malfunction of the software prevents the accomplishment of intended services even <br />though the hardware may be functioning properly. Technical failures include, but are not limited to, <br />an improper or incomplete conversion or upgrade of the hardware or software. <br />• User: Government employee or affiliated volunteer who has the ability to log -in to the system for <br />administrative purposes (e.g., maintaining contact lists, sending notifications, monitoring notification <br />results, etc.). Includes employees and contractors of other public entities who are authorized by the <br />County to access the system pursuant to a Memorandum of Understanding between the County and <br />those public entities. <br />• WEA/EAS: Wireless Emergency Alerts/Emergency Alert System. <br />ARTICLES <br />1. Scope of Contract: The terms and conditions of this Contract, including those in its Attachments, <br />specify the terms and conditions by which the County will procure services in connection with the <br />CMAS Contract from the Contractor, hereinafter referred to as "PMNS" or "Services," as more <br />fully detailed in Attachment B, Scope of Work. <br />2. Precedence: In the event of a conflict between the terms and conditions in this Contract and terms <br />and conditions in the Attachments, the conflict shall be resolved by giving precedence first to the <br />terns and conditions of this Contract, then the terms and conditions of any Attachments. In the <br />event of a conflict between the language of any Attachments, precedence shall be given in the <br />following order: <br />a. This Contract <br />b. Attachment B (Scope of Work) <br />c. Attachment E (Functional Requirements) <br />d. Attachment C (Compensation and Pricing Provisions) <br />e. Attachment A (CMAS Contract) <br />f. Attachment D (Everbridge Technical Support Services Guide). <br />3. Term of Contract: This Contract shall commence December 31, 2019, and shall be effective <br />through and including December 30, 2020, unless otherwise terminated by County. Contract may <br />be renewed for up to four (4) additional one-year terms, upon mutual agreement of both Parties and <br />upon successful renewal of the CMAS Contract No. 3-12-70-2909A.
