ARTICLE 6 <br />COMPANY COMPENSATION AND RATES <br />6.1 General <br />Contractor Compensation provided for in this Article shall be the full, entire and <br />complete compensation due to Contractor pursuant to this Agreement for all labor, <br />equipment, materials and supplies, taxes, insurance, bonds, overhead, Disposal, <br />Recycling, processing, transfer, profit and all other factors necessary to perform all the <br />services required by this Agreement in the manner and at the times prescribed. <br />Contractor will perform the responsibilities and duties described in this Agreement in <br />consideration of the right to receive compensation for services rendered at maximum <br />rates approved by City from time -to -time. <br />6.2 Initial Rates <br />The rates for the Rate Year beginning July 1, 2022, and ending June 30, 2023, shall not <br />exceed those set forth in Exhibit 1 hereto, unless amended by a written amendment to <br />this Agreement entered into by and between the City and the Contractor. Contractor <br />has reviewed these maximum rates and agrees they are reasonably expected to generate <br />sufficient revenues to provide adequate Contractor Compensation. Unless and until the <br />maximum rates set forth on Exhibit 1 are adjusted, Contractor will provide the services <br />required by this Agreement, charging no more than the maximum rates authorized by <br />Exhibit 1, except as provided herein and in Section 6.3. <br />6.3 Schedule of Future Adjustments <br />Beginning with Rate Year 2 (July 1, 2023) and for all subsequent Rate Years, Contractor <br />is to submit the annual rate adjustment calculation (increase or decrease) to the <br />maximum rates shown in Exhibit 1. The Contractor shall submit its calculation to be <br />received by City, by March 1 of the same year based on the method of adjustment <br />described in Section 6.4. Failure to submit a written request by March 1, shall result in <br />Contractor waiving the right to request such an increase for the subsequent year. If in <br />any year, the Contractor does not request the annual adjustment, and the adjustment <br />would have been a decrease, the next year's adjustment will be offset to the extent of the <br />waived decrease or the City may choose to notify the Contractor that it will implement <br />the decrease. <br />August 17, 2021 112 City of Santa Ana <br />
