which apply to City and City's right to direct Contractor to process and dispose of Solid <br />Waste at a particular licensed Solid Waste Facility or to dispose of Solid Waste at a <br />particular licensed Disposal Site, if and only if City exercises such right by providing <br />specific written direction to Contractor, Contractor is hereby granted the right to retain, <br />Recycle, process, Dispose of, and otherwise use such Solid Waste, or any part thereof, in <br />any lawful fashion or for any lawful purpose desired by Contractor; this does not <br />impact Contractor's right to retain Recyclable Materials revenue under Section 4.6.7. <br />Subject to the provisions of this Agreement, Contractor shall have the right to retain any <br />benefit resulting from its right to retain, Recycle, process, Dispose of, or reuse the Solid <br />Waste which it Collects. Solid Waste which is delivered to a Disposal Site or sites <br />(whether landfill, Transformation Facility, Transfer Station, Organic Materials <br />Processing Facility or Material Recovery Facility) shall become the property of the <br />Owner or operator of the Disposal Site(s) once deposited there by Contractor. City may <br />obtain ownership or possession of Solid Waste placed for Collection upon written <br />notice of its intent to do so, however, nothing in this Agreement shall be construed as <br />giving rise to any inference that City has such ownership or possession unless such <br />written notice has been given to Contractor. <br />City has the option to provide written direction to the Contractor specifying a Facility <br />for handling, processing, and Disposal of Solid Waste. If City directs Contractor to a <br />Facility other than a Facility listed in this Agreement, or otherwise requested by <br />Contractor, and in doing so it adversely affects the ability of the Contractor to meet <br />either or both of the requirements of Section 9.3 and Section 4.6.1, then in this event the <br />City and Contractor shall meet and confer and mutually agree on revised obligations <br />for Sections 9.3 and 4.6.1. The foregoing notwithstanding, in the event City directs <br />Contractor to a Facility other than a Facility listed in this Agreement or otherwise <br />requested by Contractor, then Contractor shall be entitled to a rate adjustment based <br />upon any increase or decrease in costs associated with handling, processing, Disposal <br />and transportation. <br />2.12 Contractor Status <br />Contractor represents and warrants that it is duly organized, validly existing and in <br />good standing under Applicable Laws. It is qualified to transact business in the State of <br />California and has the power to own its properties and to carry on its business as now <br />owned and operated and as required by this Agreement. <br />August 17, 2021 34 City of Santa Ana <br />
