2.13 Contractor Authorization <br />Contractor represents and warrants that it has the authority to enter into and perform <br />its obligations under this Agreement. The Board of Directors or partners of Contractor <br />(or the shareholders, if necessary) have taken all actions required by Applicable Law, its <br />articles of incorporation, and its bylaws or otherwise to authorize the execution of this <br />Agreement. The Persons signing this Agreement on behalf of Contractor have authority <br />to do so. Contractor shall authorize one employee for the City as a single point of <br />contact for issues arising under this Agreement. City may accept that this employee's <br />actions are taken on behalf of and with the full approval of the Contractor. <br />2.14 Annexations <br />This Agreement extends to any territory annexed to the City during the term of this <br />Agreement except to the extent that Collection by Contractor within that annexed <br />territory would violate the provisions of Public Resources Code Section 49520. In such <br />event, this Agreement shall become effective as to such area at the earliest possible date <br />permitted by law, and City agrees that it shall cooperate with Contractor to fulfill any <br />requirement necessary for Contractor to serve the annexed area consistent with this <br />paragraph. <br />2.15 Permits and Licenses <br />Contractor shall acquire and maintain all necessary permits and licenses for the <br />Collecting, transporting, Recycling, processing, disposing, and storing of Solid Waste as <br />required under this Agreement. Failure to maintain all required permits shall be <br />deemed a material breach of contract for which City may terminate this Agreement as <br />provided in Section 11.3. Contractor must follow requirements of the Santa Ana <br />Municipal Code, including, but not limited to, obtaining a City of Santa Ana business <br />license. <br />August 17, 2021 35 City of Santa Ana <br />
