EXHIBIT 3 <br />requiredmay,inadditiontootherremediessetforthinthisFUP/FYISpecialFeesAgreement,result <br />in readjustment of the amount of funds the Contractor is otherwise obligated to pay to the <br />Subcontractorpursuanttothetermshereof,orterminationofthisFUP/FYISpecialFees <br />Agreement. <br />4.HUDAGREEMENT <br />A.Contractoradherestothe2021Act,whichestablishestheallocationmethodology <br />for calculating HAP renewal funds, new incremental vouchers and administrative fees.A true and <br />correct copy of the HUD PIH Notice 2021-10 recognizing $84,017.00 in FUP/FYI Special Fees <br />grant funds to be used by Contractor to address immediate homeless challengesis attached <br />hereto as Exhibit A.Subcontractor has been made aware of the HUD PIH Notice 2021-10and <br />agrees to comply with all the conditions of the HUD-PIH Notice 2021-10 and the applicable <br />HUDrequirementsgoverningthe useofFUP/FYI Special Feesgrant funds. <br />B.Pursuanttothe HUDPIH Notice2021-10,Subcontractorisrequiredto: <br />i.Perform the work in accordance with Federal, State and Local housing and <br />buildingcodes, asapplicable. <br />ii.Maintain at least the minimum State- <br />thoseemployees who will perform thework oranypart ofit. <br />iii.Maintain,asrequiredbylaw,unemploymentinsurance,disability <br />insurance,andliabilityinsuranceinanamountthatisreasonableto <br />compensateanyperson,firmorcorporationwhomaybeinjuredor <br />damaged bythe Subcontractor in performing the work or anypart ofit. <br />iv.Agree to include all the terms of the HUD PIH Notice 2021-10 in each <br />subcontract. <br />5.INDEPENDENTCONTRACTOR <br />Subcontractor shall, during the entire term of this FUP/FYI Special Fees Agreement, be <br />construed to be an independent contractor and not an employee of the Contractor.This FUP/FYI <br />Special Fees Agreement is not intended nor shall it be construed to create an employer-employee <br />relationship, a joint venture relationship, or to allow the Contractor to exercise discretion or <br />control over the professional manner in which Subcontractor performs the services which are the <br />subject matter of this FUP/FYI Special Fees Agreement; however, the services to be provided by <br />Subcontractorshallbeprovidedinamannerconsistentwithallapplicablestandardsand <br />regulations governing such services. Subcontractor shall pay all salaries and wages, employer's <br />social security taxes, unemployment insurance and similar taxes relating to employees and shall <br />beresponsible for all applicable withholdingtaxes. <br />3 <br /> <br />
