INC„ TO PROVIDE RECORDS RETENTION SERVICES THIS FIRST AMENDMENT to the above -referenced agreement is entered into February 17, 2022, by and between Gladwell Governmental Services, Inc., a California corporation, ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The parties entered into Agreement No. N-2021-060 ("Agreement") dated April 1, 2021, to retain Consultant to update the City's retention schedule, train staff at the department -level to understand their records, and implement and administer a citywide records management program. B. The Agreement is current and in -effect through March 31, 2022 with optional annual subscription renewals exercisable by a writing by the City Manager and the City Attorney. C. The parties wish to amend the Agreement to expand the scope and extend the term. The Parties therefore agree: Section 1, Scope of Work, is hereby amended to include the services, as detailed in the attached Exhibit A-1 to this First Amendment, attached hereto. 2. Section 3, Term, is amended to extend the term of the Agreement until March 31.2023 by exercising the first subscription renewal. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement, shall remain in full force and effect.
