• Parking enforcement staffing cannot decrease during the term of the Agreement, and City <br />cannot materially lessen enforcement that would result in lower meter payment <br />compliance. <br />• City staff shall continue to maintain all equipment according to recommended practices for <br />preventative maintenance and shall respond in a timely manner to any meter alerts in the <br />field with a target of 24 hours response time. <br />• City shall purchase all necessary spare parts and pay for any repair services as needed, <br />including but not limited to accidents or vandalism. <br />• IPS shall bear risk of loss of the Equipment, including any damage sustained during <br />transportation to the delivery site. Risk in the Equipment shall pass to City upon delivery. <br />Transfer of title to Equipment shall only pass to City upon full payment for the Equipment. <br />• The program contains a 12-month parts warranty, unless extended warranty is included in <br />the costs provided by this program. After this time, the City shall become responsible for <br />warranty repairs and associated costs. <br />IPS Is relying on City information related to parking meter revenues. Specifically, referring baseline <br />revenue over the last 12 months which is [to be determined]. This is a material fact upon which IPS <br />is making this proposal. Failure for the system to generate similar revenue in future years will <br />require the parties to negotiate in good faith to find an equitable solution, including an adjustment <br />of the payments schedule, term of the agreement, catch-up payments or return of the parking <br />meters to IPS. In the event that meters are returned to IPS, no revenues received by IPS shall be <br />refundable to the City. This process shall be initiated by IPS based on the payments received and <br />revenue performance of the system every six (6) months. <br />Page 9 of 9 <br />
