I. Operator will not enter into any parking contract for the Parking Facilities without Owner's prior written <br />consent, which Owner may grant, deny, or condition in its sole discretion. <br />J. Operator agrees that if any related entity or subsidiary of operator is contracted to provide valet parking <br />services for any entity (i.e. hotel, restaurant, or front door) in the vicinity of the Facilities during the Term <br />of the Agreement ("Outside Contracts"), Operator will promptly discuss such Outside Contracts with <br />Owner and, at Owner's request, will make every effort to store vehicles related to said Outside Contracts <br />within the Parking Facilities for a mutually agreed upon daily fee proposed by Operator and approved by <br />Owner. Operator will provide Owner with a copy of all agreements governing said Outside Contracts and <br />all revenue generated for the Parking Facilities from the storage of Outside Contract vehicles will be <br />accounted for and included on the monthly statement provided to Owner. <br />IV <br />OBLIGATIONS AND RIGHTS OF OWNER <br />A. Owner agrees that at the commencement of and throughout the Term of this Agreement, the Parking <br />Facilities (including but not limited to the roof, structural portions, and interior and exteriorof any building <br />that is part of the Parking Facilities) will, at Owner's expense, be kept in good condition and repair for use <br />as parking facilities and be constructed and equipped to comply with all laws, regulations, ordinances, and <br />codes applicable to the ownership and maintenance of the Parking Facilities that are now in effect or that <br />become effective during the Term including, without limitation, the Americans With Disabilities Act of <br />1990, as applicable to the Parking Facilities. <br />B. Owner will provide the following: <br />1. Structural repairs and condition assessments of facilities. <br />C. Owner will have the right during the Term to modify the Facilities on a temporary or permanent basis for <br />any reason including, but not limited to the following: <br />1. To provide additional parking spaces. <br />2. To repair one or more sections of the Parking Facilities. <br />3. To increase the numberof spaces available for parking by acquisition or devotion of additional land, <br />redesign, restriping, or otherwise. <br />4. To decrease the number of spaces or close the Parking Facilities for any purpose. <br />5. To convert all or part of the Parking Facilities to another use. <br />6. To add, remove, and/or change any type of parking equipment/technology. <br />7. To add, remove, or change parking duties/responsibilities of Operator. <br />Operator will work with Owner to accommodate these changes in its operation of the Parking Facilities. <br />Operator will also update the Operation and Maintenance Plan, which is incorporated herein as Exhibit E, <br />to accommodate any permanent changes; the revised Operation and Maintenance Plan will be subject to <br />approval by Owner. Any changes to the Operation and Maintenance Plan, or any other Exhibit attached <br />herewith, may be incorporated and attached to this Agreement administratively, without requiring formal <br />amendment of the Agreement, upon written approval of the updated Exhibit by Owner. <br />Page 4 <br />
