agree to submit to that jurisdiction except that either party may seek injunctive relief <br />in any court of competent jurisdiction. <br />33MERGER AND MODIFICATION <br />This Agreement, including the attached documents, constitutes the entire agreement <br />between the parties. There are no understandings, agreements, or representations, oral or <br />written, not specified within this Agreement. This Agreement may not be modified, <br />supplemented, or amended, in any manner, except by written agreement signed by both <br />parties. <br />34NONDISCRIMINATION AND COMPLIANCE WITH LAWS <br />Supplier agreesto comply with all applicable laws, rules, regulations, and policies, including <br />those relating to nondiscrimination, accessibility, and civil rights. Supplier agrees to timely <br />file all required reports, make required payroll deductions, and timely pay all taxes and <br />premiums owed, including sales and use taxes and unemployment compensation and <br />workers' compensation premiums. Supplier shall have and keep current at all times during <br />the term of this Agreement all licenses and permits required by law. <br />35INSURANCE <br />35.1Supplier shall procure and maintain for the duration of the contract insurance against <br />claims for injuries to persons or damages to property which may arise from or in <br />connection with products and materials supplied to the Entity. The cost of such <br />insurance shall be borne by the Vendor. <br />35.2Supplier shall procure and maintain for the duration of the contract insurance against <br />claims for injuries to persons or damages to property which may arise from or in <br />connection with products and materials supplied to the Entity. The cost of such <br />insurance shall be borne bythe Vendor. <br />35.3MINIMUM SCOPE AND LIMIT OF INSURANCE: Coverage shall be at least as broad as <br />Insurance Services Office Commercial General Liability coverage (occurrence Form CG <br />00 01) and include products coverage. <br />35.4MInimum Limits of Insurance: Coverage shall be at least as broad as Insurance Services <br />Form CG 00 01 covering CGL on an "occurrence" basis, including products and <br />completed operations, property damage, bodily injury and personal & advertising <br />injury with limits no less than $1,000,000 per occurrence. If a general aggregate limit <br />applies, either the general aggregate limit shall apply separately to this <br />project/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall be twice <br />the required occurrence limit. <br />35.51f the Vendor maintains broader coverage and/or higher limits than the minimums <br />shown above, the Entity requires and shall be entitled to the broader coverage and/or <br />the higher limits maintained by the contractor. Any available insurance proceeds in <br />excess of the specified minimum limits of insurance and coverage shall be available to <br />the Entity. <br />35.6Self-Insured Retentions: Self -insured retentions must be declared to and approved by <br />the City. The City may require the Vendor to purchase coverage with a lower retention <br />or provide proof of ability to pay losses and related investigations, claim <br />administration, and defense expenses within the retention.
