DocuSlgn Envelope ID: E724A90E-B947-453D-9D16-A8CDC20FBABD <br />Scope of Services <br />Olea Meter Health Analytics <br />This Validation Scope of Services is between Olea Networks, Inc., d/b/a Olea Edge Analytics ("Olea") and City o <br />Santa Ana ("Client' or "Utility"). This Scope of Services ("Scope") is intended to define key terms and deliverables <br />and critical project understandings. Any modifications to our installation and services procedures will not remove <br />functionality without the consent of both parties. Any modifications to our installation and services procedures <br />and/or additional services requested by the Client may be subject to additional fees. <br />Scope Offering, & Pricing: Olea is providing its Meter Health Analytics ("MHA") Service offering, which includes sensor <br />and edge computing hardware, equipment maintenance, software, and meter health monitoring and alerting. This <br />Scope is for 25 Endpoints ("Validation Endpoints") to be placed into service for a period of 6 months from date of <br />installation ("Validation Period"). The 25 endpoint locations are to be selected by Utility. The price of this Scope is <br />$25,000.0 ("Validation Price"). Olea will furnish and install the Olea Edge Meter Health Analytics equipment ("MHA <br />Equipment'), monitor meter data received from the MHA Equipment, and subsequently provide the Client with <br />summary reports for each meter. <br />At the conclusion of the 6-month Validation Period, Client will have up to 6P days to execute a new Agreement and <br />Scope of Services for a period of no less than 12 months, at the standard annual subscription fees (Exhibit A) for the <br />Validation Endpoints already in service. If no new Agreement and Scope of Services has been entered into by the <br />parties within 60 days, Olea will have the option to remove the MHA Equipment and/or cease providing its MHA <br />services. Additionally, at the conclusion of the Validation Period, Client has no obligation to continue services <br />provided by Olea under this Scope of Services, but may enter into substantive discussions with Olea to continue or <br />expand the service. <br />EQUIPMENT DELIVERABLES: <br />E1) 25 — MHA 100 Edge Computing Units with cell -based communication and antenna <br />E2) 25 — MHA 100 Sensor Packages (Vibration, Optical and Magnetic sensors) <br />E3) 25 — MHA 100 Power Supplies — Solar or other available power supply as determined by site visit <br />Please note Meter Health Analytics is delivered as a service and as such all equipment delivered remains in the <br />ownership of Olea Edge Analyticsand will be upgraded or replaced by Meter Health Analyticsas necessaryto maintain <br />or improve the service. <br />PROJECT MANAGEMENT SERVICES: <br />PM1) Review of Utility -provided meter consumption and billing data for Utility Review <br />PM2) Design and agree to a process to obtain ongoing consumption data from the Utility on a monthly basis <br />PM3) Production of Project Schedule and Work Plan for Utility Review and Approval <br />PM4) Production of Safety and Communication Plan for Utility Review and Approval <br />PM5) Project Management Video Kick -Off Call <br />PM6) Project Management Monthly Video Call Progress Updates <br />PM7) Project Tracking of Repairs and/or Accuracy Validations Alerts <br />
