INSURANCE EXPIRES <br />1 23 - <br />CLERK OF COUNCIL <br />DATE: <br />FIFTH AMENDMENT TO AGREEMENT <br />�,�i,)c���2 TO PROVIDE SECURITY GUARD SERVICES <br />THIS FIFTH AMENDMENT to the above -referenced agreement is entered into on May 17, <br />2022, by and between Universal Protection Services, LP, a California limited partiership, dba <br />n, Allied Universal Security Services ("Contractor"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />cn California ("City"). <br />z RECITALS <br />A. The parties entered into an Agreement to Provide Security Guard Services No. A-2017- <br />130 dated May 16, 2017, by which Contractor agreed to provide unarmed security <br />guard services for various City facilities ("Agreement"). <br />B. The parties entered into a First Amendment to said Agreement No. A-2017-351 dated <br />December 19, 2017, in order to provide additional funding to the contingency amount <br />to provide for additional temporary services under said Agreement. <br />C. The parties entered into a Second Amendment to said Agreement No. A-2019-080 <br />dated May 21, 2019, in order to provide security guard services to the City's Work <br />Center and to increase the compensation set forth in the Agreement to cover these <br />additional services. The parties also amended said Agreement to reflect the change of <br />Contractor's name from U.S. Security Associates to Universal Protection Service, LP, <br />dba Allied Universal Security Services, after Allied Universal Security purchased and <br />merged with U.S. Security Associates. <br />D. The parties entered into a Third Amendment to said Agreement No. A-2019-093 dated <br />June 18, 2019, in order to expand the scope of services to include roving patrols for <br />designated City Parks, bike trails and portions of Santiago Creek and increase the total <br />compensation of said Agreement to pay for these additional services. <br />E. The parties entered into a Fourth Amendment to said Agreement No. A-2020-209 dated <br />October 7, 2020, in order to station security professional that will utilize temperature <br />screening equipment to screen individuals at City designated entry points, increase <br />security services at 625 N. Cypress, provide security services coverage for the Water <br />Services Department, and increase the total compensation of said Agreement. <br />F. In accordance with the terms and conditions of said Agreement, the Parties desire to <br />again amend Section 2 — Compensation, to increase the maximum amount of <br />Compensation for said Agreement, and Section 3 — Term, to extend the Term of said <br />Agreement. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions of said Agreement, as amended, except as herein modified, the parties agree <br />as follows: <br />Page I of 2 <br />
