WDM0522 Page 4 of 45 March 1, 2022 <br /> <br />1. TERM <br />The term of this Agreement shall commence on July 1, 2022, and terminate on June <br />30, 2025, unless earlier terminated pursuant to the provisions of Paragraph 42 of this <br />Agreement; however, CONTRACTOR shall be obligated to perform such duties as would <br />normally extend beyond this term, including, but not limited to, obligations with respect to <br />indemnification, audits, reporting and accounting. <br />2. ALTERATION OF TERMS <br />2.1 This Agreement, including any Attachment(s) attached hereto and incorporated by <br />reference, fully expresses all understandings of the parties and is the total <br />Agreement between the parties as to the subject matter of this Agreement. No <br />addition to, or alteration of, the terms of this Agreement, whether written or verbal, <br />are valid or binding unless made in the form of a written amendment to this <br />Agreement which is formally approved and executed by both parties. <br />2.2 The various headings, numbers, and organization herein are for the purpose of <br />convenience only and shall not limit or otherwise affect the Agreement. <br />3. STATUS OF CONTRACTOR <br />3.1 CONTRACTOR is, and shall at all times be deemed to be, an independent <br />contractor, and shall be wholly responsible for the manner in which it performs the <br />services required of it by the terms of this Agreement. Nothing herein contained <br />shall be construed as creating the relationship of employer and employee, or <br />principal and agent, between COUNTY and CONTRACTOR or any of <br />CONTRACTOR’s agents or employees. CONTRACTOR assumes exclusively the <br />responsibility for the acts of its employees or agents as they relate to services to be <br />provided during the course and scope of their employment. <br />3.2 CONTRACTOR, its agents, and employees shall not be entitled to any rights and/or <br />privileges of COUNTY employees, and shall not be considered in any manner to <br />be COUNTY employees. <br />4. DESCRIPTION OF SERVICES <br />4.1 CONTRACTOR agrees to provide those services, facilities, equipment, and <br />supplies, as described in Attachment A to the Agreement between County of
