WDM0522 Page 5 of 45 March 1, 2022 <br /> <br />Orange and CONTRACTOR, for the Provision of Vocational Training (VTR) and <br />Work Experience (WEX) Services, attached hereto and incorporated herein by <br />reference. CONTRACTOR shall operate continuously throughout the term of this <br />Agreement with the number and type of staff described and as required for <br />provision of services hereunder. <br />4.2 Subject to thirty (30) days advance written notice, ADMINISTRATOR may require <br />changes in staffing allocations to reflect current workload demands or service needs <br />as long as COUNTY’s maximum funding obligation, as set forth in this Agreement, <br />is not exceeded. <br />4.3 Upon the request of ADMINISTRATOR, CONTRACTOR shall send appropriate <br />staff to attend an orientation session and subsequent training sessions given by <br />COUNTY. <br />5. LICENSES AND STANDARDS <br />5.1 CONTRACTOR warrants that it and its personnel, described in Paragraph 28 of <br />this Agreement, who are subject to individual registration and/or licensing <br />requirements, have all necessary licenses and permits required by the laws of the <br />United States, State of California (hereinafter referred to as “State”), County of <br />Orange, and all other appropriate governmental agencies to perform the services <br />described in this Agreement, and agrees to maintain, and require its personnel to <br />maintain, these licenses and permits in effect for the duration of this Agreement. <br />Further, CONTRACTOR warrants that its employees shall conduct themselves in <br />compliance with such laws and licensure requirements, including, without <br />limitation, compliance with laws applicable to sexual harassment and ethical <br />behavior. CONTACTOR must notify ADMINISTRATOR within one (1) business <br />day of any change in license or permit status (e.g., becoming expired, inactive, etc.). <br />5.2 In the performance of this Agreement, CONTRACTOR shall comply with all <br />applicable provisions of the California Welfare and Institutions Code (WIC); Title <br />45 of the Code of Federal Regulations (CFR); implementing regulations under 2 <br />CFR Part 200, Uniform Administrative Requirements, Cost Principles, and Audit <br />Requirements for Federal Awards; Title 48 CFR Section 31.2; and all applicable
