Therefore, the foregoing representative shall be responsible during the <br />term of this Agreement for directing all activities of Consultant and devoting sufficient <br />time to personally supervise the services hereunder. For purposes of this Agreement, the <br />foregoing officer & representative may not be replaced nor may their responsibilities be <br />substantially reduced by Consultant without the express written approval of City. <br /> <br />2. Contract Officer <br /> <br />The Contract Officer shall be the person designated hereunder by City. It shall be <br />Consultant's responsibility to assure that City's Contract Officer is kept informed of the <br />progress of the performance of the consulting services set forth in this Agreement and <br />Consultant shall refer any decisions which must be made by City to the Contract Officer. <br />The Contract Officer shall have authority to enter into Change Orders with Consultant <br />pursuant to this Agreement. The Contract Officer shall have authority to sign all <br />documents on behalf of City required hereunder to carry out the terms of this Agreement. <br />Unless otherwise specified herein, any approval of City required hereunder shall mean <br />the approval of the Contract Officer. <br /> <br />City of Santa Ana Kristine Ridge, City Manager <br />Contract Officer or designee <br /> <br />3. TERM <br /> <br />This Agreement shall commence on the date first written above and terminate on June 30, <br />2022, unless terminated earlier in accordance with Section 9, below. This Agreement shall cover <br />all services provided by Consultant since July 1, 2021. <br /> <br />4. INDEPENDENT CONTRACTOR <br /> <br />Consultant shall, during the entire term of this Agreement, be construed to be an <br />independent contractor and not an employee of the City. This Agreement is not intended nor <br />shall it be construed to create an employer-employee relationship, a joint venture relationship, or <br />to allow the City to exercise discretion or control over the professional manner in which <br />Consultant performs the services which are the subject matter of this Agreement; however, the <br />services to be provided by Consultant shall be provided in a manner consistent with all <br />applicable standards and regulations governing such services. Consultant shall pay all salaries <br />and wages, employer's social security taxes, unemployment insurance and similar taxes relating <br />to employees and shall be responsible for all applicable withholding taxes.
