To achieve the mutual goal of service <br />satisfaction, ABM believes it is in our client's <br />and ABM's interest for the contract documents <br />to accurately reflect both parties' <br />understanding of the requirements and <br />intentions. <br />If ABM is the successful bidder, ABM would <br />like to discuss a few of the provisions of the <br />contract. The specific concerns are <br />addressed with proposed language in the <br />attached redline version of the sample <br />contract included with the RFP and the RFP <br />General and Specific Terms and Conditions. <br />Should ABM be the successful bidder, we look <br />forward to discussing the following concerns <br />in further detail: <br />termination for convenience rights <br />included in any future contract between <br />the parties be mutual; and <br />narrowing ABM's indemnification <br />obligations to only claims caused by the <br />negligence, misconduct or other fault of <br />ABM, its agents and employees, and <br />which arise out of work performed under <br />this Contract. <br />Confidential and Proprietary <br />1.
