<br />28 <br />4846-5351-8811v3/200434-0005 <br />Section 8.07 Covenants of City Binding on Successors. <br />(a) All covenants, stipulations, obligations and agreements of the City contained <br />in this Trust Agreement shall be deemed to be covenants, stipulations, obligations and agreements of <br />the City to the full extent authorized or permitted by law. If the powers or duties of the City shall <br />hereafter be transferred by amendment of any provision of the Constitution or any other law of the <br />State or in any other manner there shall be a successor to the City, and if such transfer shall relate to <br />any matter or thing permitted or required to be done under this Trust Agreement by the City, then the <br />entity that shall succeed to such powers or duties of the City shall act and be obligated in the place <br />and stead of the City as provided in this Trust Agreement, and all such covenants, stipulations, <br />obligations and agreements herein shall be binding upon such successor or successors thereof from <br />time to time and upon any officer, board, body, district, authority or commission to whom or to <br />which any power or duty affecting such covenants, stipulations, obligations and agreements shall be <br />transferred by or in accordance with law. <br />(b) Except as otherwise provided in this Trust Agreement, all rights, powers and <br />privileges conferred and duties and liabilities imposed upon the City by the provisions of this Trust <br />Agreement shall be exercised or performed by the City or by such officers, board, body, district, <br />authority or commission as may be required by law to exercise such powers or to perform such <br />duties. <br />Section 8.08 Trust Agreement to Constitute a Contract. This Trust Agreement is <br />executed by the City for the benefit of the Bondholders and constitutes a contract with the <br />Bondholders. <br />Section 8.09 City to Perform Pursuant to Continuing Disclosure Certificate. The City <br />hereby covenants and agrees that it will comply with and carry out all of the provisions of the <br />Continuing Disclosure Certificate. Notwithstanding any other provision of this Trust Agreement, <br />failure of the City to comply with the Continuing Disclosure Certificate shall not be considered an <br />Event of Default under this Trust Agreement; provided, however, the obligations of the City to <br />comply with the provisions of the Continuing Disclosure Certificate shall be enforceable by any <br />Participating Underwriter or any Holder of Outstanding Bonds, or by the Trustee on behalf of the <br />Holders of Outstanding Bonds; provided, further, that the Trustee shall not be required to take any <br />enforcement action whatsoever except at the written direction of the Holders of not less than a <br />majority in aggregate principal amount of the Bonds at the time Outstanding who shall have provided <br />the Trustee with security and indemnity to its satisfaction, including without limitation, attorney’s <br />fees and expenses. The Participating Underwriters’, Holders’ and Trustee’s rights to enforce the <br />provisions of the Continuing Disclosure Certificate shall be limited solely to a right, by action in <br />mandamus or for specific performance, to compel performance of the City’s obligations under the <br />Continuing Disclosure Certificate. Notwithstanding the foregoing, the City shall be entitled to <br />amend or rescind the Continuing Disclosure Certificate to the extent permitted by law. <br />ARTICLE IX <br /> <br />INVESTMENTS <br />Section 9.01 Investments Authorized. Money held by the Trustee in any fund or account <br />hereunder shall be invested by the Trustee in Permitted Investments pending application as provided <br />herein solely at the prior written direction of an Authorized City Representative, shall be registered in
