CITY OF SANTA ANA <br />RFP No. 20-160 BOND AND VALIDATION COUNCEL SERVICES Page 5 of 26 <br /> <br />exceptions to the terms and conditions set forth in the Contract Document should be <br />clearly noted in each Proposer’s proposal. <br /> <br />F. PROPOSAL CONTENTS <br />Proposals are to be prepared in such a way as to provide a straightforward, concise <br />delineation of capabilities to satisfy the requirements of this RFP. Colored displays, <br />promotional materials, etc., are not necessary or desired. Emphasis should be <br />concentrated on conformance to RFP instructions, responsiveness to the RFP <br />requirements, and on completeness and clarity of content. Dividers and clear organization <br />of content and material are encouraged. Proposals shall not exceed 5 pages, not including <br />the cover letter and any addenda. Type size and margins for text pages should be in <br />keeping with accepted standard formats for desktop publishing and processing. <br /> <br />Proposals submitted in response to this RFP shall be in the following order and shall <br />include: <br />1. Cover Letter <br />Proposals shall include a letter signed by a principal or authorized representative who <br />can make legally binding commitments for the entity. Include type of business entity. <br />Cover Letter shall not exceed one page. <br />Please answer the following questions in the cover letter. <br />a) Has your firm and/or any of its principals ever been the subject of any investigation <br />relating to the municipal industry by the SEC, NASD, NYSE or any other State or <br />Federal organization that oversees, regulates, licenses or is otherwise responsible <br />for the municipal industry? <br />b) Has your firm and/or any of its principals ever been involved in any litigation, <br />arbitration, disciplinary or other actions arising from the firms’ counsel services? <br />c) Please list any potential conflicts of interest your firm may have in acting as counsel <br />or placement agent for the City. <br />2. Firm Overview <br />Provide a brief overview of your firm, and the resources dedicated to the municipal <br />bond sector (1 page). <br />3. Pension Experience <br />Briefly elaborate on your firm’s experience providing bond and validation counsel <br />services on Pension Obligation Bonds or refinancing unfunded pension liabilities. <br />List the individuals who would work on the proposed financing. Include the role, <br />responsibilities, relevant experience with POB financings (resumes may be attached <br />as an Appendix. Indicate the primary or day-to-day banker and their contact <br />information. <br />4. Cost Proposal <br />Include your not-to-exceed fee and detailed out-of-pocket expenses for bond and <br />validation counsel services assuming a $709.9 million POB, with 10-year call and <br />maximum 25-year maturity.
