INSURANCE NOT ON FILE N-2023-265 <br />WORK MAY NOT PROCEED <br />CITY CLERK <br />DATE: <br />0 • CprD ASSIGNMENT AND ASSUMPTION OF LEGAL SERVICES AGREEMENT <br />M This Assignment and Assumption of Legal Services Agreement is made and entered into <br />this 15th day of August, 2023, between O'Hagan Meyer, an Illinois limited liability partnership <br />C'J (O'HAGAN); Daugherty Lordan LLP, a California limited liability partnership (DAUGHERTY); <br />r and the City of Santa Ana, a charter city of the State of California (CITY). <br />r <br />U <br />Q <br />WITNESSETH: <br />Whereas, the CITY entered into an agreement LEWIS to provide certain legal <br />services to the CITY, which agreement is dated November 19, 2021 and was amended <br />February 15, 2022 (collectively, Agreement); and <br />Whereas, LEWIS worked with Barber Ranen LLP, a California limited liability <br />partnership (BARBER) to transfer cases and the responsibility for providing the legal services set <br />forth in the Agreement; and <br />Whereas, the attorneys at LEWIS who had been providing the legal services to CITY <br />under the Agreement joined BARBER, a law firm, effective May 1, 2023; and <br />Whereas, in order to ensure that there was no interruption of services to CITY, LEWIS <br />desired to assign, and BARBER desired to assume, the obligations under the Agreement; and <br />Whereas, the CITY desired to continue the Agreement and to consent to the assignment of <br />the Agreement from LEWIS to BARBER; <br />Whereas, BARBER was renamed to Daugherty Lordan LLP (DAUGHERTY) on or about <br />June 9, 2023; and <br />Whereas, the attorneys at DAUGHERTY who have been providing the legal services to <br />CITY under the Agreement have joined O'HAGAN, an Illinois limited liability partnership, <br />effective August 15, 2023; and <br />Whereas, in order to ensure that there is no interruption of services to CITY, <br />DAUGHERTY desires to assign, and OWAGAN desires to assume, the obligations under the <br />Agreement; and <br />Whereas, the CITY desires to continue the Agreement and to consent to the assignment of <br />the Agreement from DAUGHERTY to O'HAGAN; <br />Now therefore, for good and valuable consideration, the receipt and adequacy of which of <br />hereby acknowledged, the parties hereto agree as follows: <br />1. Effective August 15, 2023, DAUGHERTY shall assign all its rights and interest in and <br />to the Agreement related to CITY, to O'HAGAN, except for DAUGHERTY's right to <br />
