COOPERATIVE AGREEMENT NO. C-3-2323 <br /> EXHIBIT B <br /> 2.5 Train/Traffic Signal Coordination <br /> Prior to Revenue Service, the Parties intend to establish the Baseline Timing for the CITY's traffic <br /> signal system. The Parties recognize the need to balance automobile traffic progression and System <br /> operations at a reasonable level where they share CITY streets. Once in Revenue Service, the Parties <br /> shall work cooperatively to maintain a coordinated transportation system including traffic signals, the <br /> Transit Signal Priority Equipment, and crossing gates. <br /> 2.5.1 Transit Signal Priority Committee <br /> The CITY and AUTHORITY shall form a Transit Signal Priority Committee ("TSP Committee") to <br /> coordinate, monitor and adjust the transit signal priority system. The TSP Committee shall comprise of <br /> no more than three (3) representatives from each Party. The TSP Committee shall be responsible for <br /> confirming the Baseline Timing prior to Revenue Service, determining which reports are necessary for <br /> long term performance monitoring during transit signal priority software implementation, reviewing <br /> performance reports once in Revenue Service, and determining signal timing and transit signal priority <br /> strategies to balance automobile traffic progression and streetcar operations. The TSP Committee shall <br /> meet twice yearly or as necessary to address traffic signal and streetcar progression issues. The <br /> AUTHORITY shall chair the TSP Committee. <br /> 2.5.2 Data Collection and System Monitoring <br /> The software intended for traffic signal data collection and system performance monitoring, <br /> includes Miovision's Central Management Software (CMS), used for monitoring the Opticom system, <br /> Econolite's Centracs Signal Performance Monitoring software, an add-on to the City's System, used for <br /> monitoring signal timing and performance, and CAD — AVL (Computer Aided Dispatch — Automatic <br /> Vehicle Location) software used by the AUTHORITY for monitoring streetcar performance. Specific <br /> branding of software in this agreement does not preclude the TSP Committee from identifying and <br /> approving appropriate, equivalent software. The AUTHORITY and CITY agree to split the cost of the <br /> Miovision CMS and Econolite Centracs SPM software, or equivalents, license renewals, or upgrades. <br /> The AUTHORITY shall pay the cost of the software license renewals and upgrades and shall include the <br /> Exhibit B <br /> Page 2 <br />
