FOURTH AMENDMENT TO AGREEMENT WITH ARAMARK FOR <br />INMATE COMMISSARY AND FOOD SERVICES <br />THIS FOURTH AMENDMENT to the above -referenced agreement is entered into on this 4th <br />day of June 2024, by and between ARAMARK Correctional Services, LLC, a Delaware Limited <br />Liability Company ("ARAMARK"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS <br />A. The parties entered into an Agreement No. A-2020-204 dated October 20, 2020 <br />("Agreement"'), by which ARAMARK agreed to provide inmate commissary and food <br />services at the Santa Ana Detention Facility. The Agreement is effective through June 30, <br />2023 and is current and in effect. <br />B. On December 7, 2021, the parties entered into a First Amendment to the Agreement (A- <br />2020-204-1) to include additional funding to address an increase in the Consumer Price <br />Index (CPI) and increase the overall contract not -to- exceed amount. <br />C. On December 20, 2022, the parties further entered into a Second Amendment the Agreement <br />(A-2022-252) to include additional funding to address an increase in the Consumer Price <br />Index (CPI) and increase the overall contract not- to -exceed amount. <br />D. On June 20, 2023, the parties entered into a Third Amendment to the Agreement (A-2023- <br />120) to include additional funding to address an increase in the Consumer Price Index (CPI) <br />and increase the overall contract not- to -exceed amount. <br />E. The parties now seek to further amend the Agreement to extend the term of the agreement <br />for one year and include additional funding to address market conditions as negotiated upon <br />by the Parties, and increase the overall compensation to pay for food services during the <br />extension. <br />The Parties therefore agree: <br />1. Section 2, Compensation -A. Food Service -subsection i, is amended to increase the overall <br />compensation by $1,579,638 including $40,000 in contingency. The total not to exceed <br />amount of the Agreement is $7,683,326.31. <br />2. Section 2, Compensation -A.
