This Agreement, the exhibits <br />hereto and the approvals referenced herein contain the <br />entire agreement between the parties, and is intended by the <br />parties to completely state the Agreement in full. Any <br />agreement or representation respecting the matters dealt <br />with herein or the duties of any party in relation thereto, <br />not expressly set forth in this Agreement shall be of no <br />force or effect. <br /> <br /> (d) Relationships of the Parties. The relationship of <br />Developer and the City is exclusively that of parties to <br />this Agreement. Neither Developer nor the City is the agent <br />or principal of the other. <br /> <br /> (e) Construction. This Agreement shall be interpreted <br />pursuant to the laws of the State of California. This <br />Agreement is the product of negotiation and has been drafted <br />by the mutual efforts of both parties and, in the event of <br />an ambiguity, it shall be construed accordingly. <br /> <br /> (f) Time of the Essence. Time is of the essence for <br />each provision of this Agreement of which time is an <br />element. <br /> <br /> (g) Incorporation of Recitals. <br />in Paragraphs A. through G. above, <br />by this reference. <br /> <br /> The Recitals set forth <br />are hereby incorporated <br /> <br /> (h) Effective Date. This Agreement shall be dated as <br />of the date of adoption of an ordinance of the City <br />approving this Agreement, it being understood that such an <br />ordinance shall not have been submitted to the City Council <br />for adoption until after the execution of this Agreement by <br />Developer. The "Effective Date" of this Agreement shall be <br />the date on which said ordinance becomes effective. <br /> <br />- 19 <br /> <br /> <br />
