Phillips Hutton Building, no agreements have been reached other than those contained in <br />this Agreement. <br />WHEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties hereto do hereby <br />agree as follows: <br />1. SCOPE OF WORK: <br />Griffin will perform a detailed supplemental feasibility analysis of the building <br />located at 301-309 West Fourth Street ("the Phillips Hutton Building") and Scope of <br />Services attached hereto and incorporated herein as Exhibit A, including: <br />• Design Development <br />• Construction Document Preparation Program <br />• Cost Estimate(s) <br />• Development Feasibility Analysis <br />• Scheduling <br />• Program Management <br />2. TERM: <br />The services to be performed pursuant to the terms of this Agreement and all <br />attachments hereto shall be completed not later December 31, 2002, unless terminated <br />earlier in accordance with Section 12, below. The term of this Agreement may be <br />extended upon a writing executed by the Executive Director of the Community <br />Development Agency and the City Attorney, <br />3. COMPENSATION: <br />a. City agrees to pay to Griffin, and Griffin agrees to accept as full compensation <br />for Griffin's services hereunder, payment of its fee(s), costs and direct expenses in an <br />amount not to exceed Two Hundred Worry six Thousand Nine Hundred -Fifty Dollars <br />($246,950.00). A detailed breakdown of fees and expenses is set forth in Exhibit A <br />attached hereto. <br />b. Payment by City shall be made within thirty (30) days following receipt of <br />proper invoice submitted by Griffin evidencing work performed during the prior thirty <br />(30) days, subj cot to City accounting procedures. Payment need not be made for work <br />which fails to meet the standards of performance set forth in the Recitals which may <br />reasonably be expected by City. <br />z <br />
