D. Both parties shall be responsible for the installation and maintenance of their respective water mains as depicted in Attachment "A". (2) EMERGENCY USE - Should a failure of District's water supply in this area occur, this inter -connection is intended to automatically supply District's immediate emergency needs to this area from Santa Ana's water supply. Should a failure of water supply occur simultaneously to SANTA ANA and DISTRICT, the emergency inter -connection will remain closed until the managers of both agencies are able to make an allocation of available water to each agency, duly con- sidering each agency's obligation to supply their own needs before permitting the inter -connection to be opened and operable. In the event that the respective nfanagers are unable to agree on operation of this emergency inter -connection, or it appears one of the parties will be placed in an injurious position due to lack of adequate water supply, the parties agree to hold individual or joint meetings of the Board of Directors and the City Council within seventy-two (72) hours after request for such a meeting. (3) PAYMENT FOR WATER OBTAINED The cost of water obtained by DISTRICT through this emergency inter -connection shall be paid pursuant to Santa Ana Municipal Code Section 39-35 providing Santa Ana to charge the applicable rates, charges and penalties for customers outside the city limits. Said water charges will be in compliance with such water rates as are established by:councilmanic resolution when payment is due. Articles I and II of Chapter 39 of the Santa Ana Municipal Code, Attachment "C" are hereby incorporated by reference and are to be utilized to clarify the intent and provisions of this agree- ment. (4) QUANTITY OF WATER GUARANTEE. Santa Ana by this agreement does not guarantee nor anticipate the sale of any regular or specific quantity of water to DISTRICT, -2-
