I B. Within one hundred and twenty (120) days after the acceptance of <br />the improvement under the contract by CITY, CITY shall submit to COUNTY for review <br />2 and approval a Final Accounting Report for PROJECT and one set of marked up <br />bluelines for "record" drawings of PROJECT, per Paragraph I.G. <br />3 C. CITY shall submit with the Final Accounting Report a certification <br />4 signed by CITY's Director of Public Works or City Engineer and its Director of <br />Finance that all expenditures applicable to PROJECT have been made and that all <br />5 copies of invoices and warrants are on file with CITY. <br />6 D. Within 30 days after approval by DIRECTOR of the Final Accounting <br />Report, COUNTY shall transfer to CITY or CITY shall transfer to COUNTY the <br />7 necessary funds to balance PROJECT's expenditures subject to the provision of <br />Paragraph II.g. <br />8 <br />IV. IT IS MUTUALLY UNDERSTOOD AND AGREED: <br />9 A. Upon acceptance of the improvements under the contract by CITY, <br />10 COUNTY shall accept maintenance responsibility for the COUNTY's PROJECT. <br />11 B. If CITY fails to execute the change order for COUNTY's PROJECT by <br />November 1, 1990, this agreement shall automatically become null and void unless <br />12 the COUNTY's Director and CITY's Director of Public Works mutually agree to extend <br />the termination date. <br />13 C. Pursuant to and in accordance with Section 10532 of the California <br />14 Government Code, in the event that this contract involves expenditures of State <br />funds aggregating in excess of Ten thousand Dollars ($10,000), the parties shall be <br />15 subject to the examination and audit of the Auditor General of the State of <br />California for a period of three (3) years after final payment under this Contract. <br />16 <br />D. That neither CITY nor any officer or employee thereof shall be <br />17 responsible for any damage or liability occurring by reason of anything done or <br />omitted to be done by COUNTY under or in connection with any work, authority or <br />18 jurisdiction not delegated to CITY under this agreement. It is also understood and <br />agreed that pursuant to Government Code Section 895.4, COUNTY shall fully <br />19 indemnify, defend, and hold CITY harmless from any liability imposed for injury (as <br />defined by Government Code Section 810.8) occurring by reason of anything done or <br />20 omitted to be done by'COUNTY or in connection with any work, authority or <br />jurisdiction not delegated to CITY under this agreement. <br />21 <br />111 <br />22 111 <br />23 <br />24 <br />25 <br />26 <br />27 <br />EK:sa:lmc <br />28 0429m-3 -3- <br />9-12-90 <br />
