INSURANCE ON FILE N-2024-329 wORK MAY PROCEED UNTIL INSURANCE EXPIRES DATE CLERK HOMELESS HOUSING,ASSISTANCE AND PREVENTION PROGRAM DATE: OCT 0 4 2014 SUBCONTRACTOR AGREEMENT FOR LANDLORD ENGAGEMENT BETWEEN ENCOMPASS HOUSING AND/}THE CITY OF SANTA ANA THIS AGREEMENT is made and entered into on this c day of �1 , 20 a`/by and between Encompass Housing, a California nonprofit corporation ("Subc ntractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California("City"). RECITALS A. The State of California established the Homeless Housing, Assistance, and Prevention 0 : Wri12) Program Round 1 ("HHAP-1" or "Program") pursuant to Chapter 6 (commencing with Section 50216)of Part 1 of Division 31 of the Health and Safety Code. (Amended by Stats. MiShrtV n Wrtk�s( 2021,Ch. 111, Sec. 4(AB 140)Effective July 19, 2021.) The Program is administered by the California Homeless Coordinating and Financing Council ("HCFC") in the Business, Consumer Services and Housing Agency. HHAP-1 provides flexible block grant funds to Continuums of Care, large cities and counties to build on the regional coordination created through previous HCFC grant funding and support local jurisdictions in their unified regional responses to reduce and end homelessness. B. The City is the recipient of HHAP-1 funds from the State of California. In 2020, the City entered into an agreement with the State of California, Agreement Number 20-HHAP- 00019 receiving and recognizing$8,422,162.84 in HHAP-1 grant funds to be used by the City to reduce and end homelessness(collectively, "State HHAP-1 Contract"). A true and correct copy of the State HHAP-1 Contract is attached hereto as Exhibit A and incorporated herein by this reference. C. In accordance with the Program, the City will collaborate with Subcontractor to address housing stability and landlord engagement for individuals transitioning from the Santa Ana Navigation Center. Subcontractor seeks to provide effective landlord engagement and retention services to successfully house and support at least six households from the Santa Ana Navigation Center, engage with at least three new landlords, and provide ongoing retention services to ensure the success of housed households. D. Subcontractor has been made aware of the State HHAP-1 Contract and agrees to comply with the conditions of the State HHAP-1 Contract and he applicable State requirements governing the use of HHAP-1 grant funds. E. In undertaking the performance of this Agreement, Subcontractor represents that it is knowledgeable in its field and that any services performed by Subcontractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth,the parties agree as follows: Page 1 of 10 #429789v1
